| 中文摘要: | 员工持股计划自20世纪50年代在美国兴起以来,在欧洲以及亚洲的发达国家中都被广泛应用。我国自20世纪80年代开始尝试职工内部持股以来,员工持股计划也得到快速发展。而物联网是继PC、互联网之后的信息技术第三次革命,2010年以来,全世界范围内掀起了物联网发展热潮,我国的物联网初创公司也迅猛增加,然而却面临着人才流失、资金流紧张等问题。 本文的研究主题就是研究物联网初创公司如何根据自身的行业特征和发展情况通过实施员工持股计划来解决发展中所面临的现实问题,并以A公司员工持股计划的方案设计和实施为例提供具体参考及管理建议。 本文主要运用了三种研究方法,分别是文献研究法、调查研究法和案例研究法。通过文献研究法对员工持股计划相关的理论进行了研究;通过调查研究法对物联网初创公司的特点及实施员工持股计划的要点进行了研究;通过案例研究法以A公司为例分析了实施员工持股计划的具体方案设计和实施步骤。 本文研究过程:针对物联网初创公司的行业特点和发展阶段,研究了物联网初创公司实施员工持股计划的前提条件、方案设计和实施要点及法律法规、税收政策、股权流转市场建设等法律法规、税收政策、股权流转市场建设等宏观政策分析,并结合A公司实施员工持股计划的实例,提出了一系列具体的方案设计和组织实施的具体措施,具有较强的现实意义和操作性。 本文研究主要内容:通过对物联网初创公司实施员工持股计划的相关问题进行分析,提出了物联网初创公司实施员工持股计划的前提条件、方案设计、组织实施的难点等方面的整体方案。物联网初创公司实施员工持股计划应着重设计员工股权性质、员工持股对象、股权价格、持股方式、融资方案、约束机制、约束机制、退出机制等几个方面,制定科学合理的员工持股计划方案,并在实施过程中重点关注时间安排、未持股员工消极影响、通过双重股权设置保持公司控制权等问题,对物联网初创公司实施员工持股计划的法律法规、税收政策、股权流转等宏观政策进行了分析,并提出了宏观政策的不足之处。并进一步以所在单位A公司实施员工持股计划的原因、方案、目标、实施效果、不足之处等具体方案设计和实施为例进行具体设计和要点分析。 | |
| 英文摘要: | Since its rise in the United States in 1950s, ESOP has been widely used in developed countries in Europe and asia. Since 1980s, China began to try employee stock ownership, employee stock ownership plan has also been rapid development. While things are following the PC, Internet information technology after the third revolution, since 2010, set off aworldwide networking development boom, Internet start-ups in China has increased rapidly, but faced with the problem of brain drain, tight cash flow etc.. This paper mainly uses three research methods, namely literature research method, investigation research method and case study method. Through the method of literature research on ESOP related theory; key problems through the investigation and study method of networking startups industry characteristics and the implementation of the ESOP was studied; through the method of case study in A company for example, analyzes the concrete design and implementation steps of implementation of ESOP. The research process: for networking industry characteristics and development stage of start-up companies, analysis conditions, study the networking start-up companies ESOP design and implementation points and laws and regulations, tax policy, equity transfer market construction and other laws and regulations, tax policy, equity transfer market construction and other macroeconomic policies, and examples combined with the implementation of the employee stock ownership plan of A company, and puts forward some concrete measures for a series of specific design and implement, has a strong practical significance and maneuverability. In this paper, the author analyzed the reasons through the implementation of ESOP, the unit where the A company plan, target, implementation effect, shortcomings, and networking issues related to start-up companies ESOP are analyzed, put forward the overall scheme of Internet startups prerequisites, ESOP, scheme design to organize the implementation of the difficulties and so on. Internet start-up companies ESOP should focus on the design of employee ownership, employee stock ownership, equity price, object ownership, financing scheme, and restriction mechanism, exit mechanism and other aspects, to establish scientific and reasonable ESOP, and focus on the problems in the implementation process of time arrangement, not employees holding negative influence by dual ownership, maintain control of the company, and further to the Internet start-up companies ESOP laws and regulations, tax policy, equity transfer and other external environment are analyzed, and put forward the shortcomings of the external environment. The main contents of this paper: through the analysis of issues related to the implementation of ESOP of networking start-up company, put forward the overall scheme of Internet startups prerequisites, ESOP design, organization and implementation difficulties and so on. Internet start-up companies ESOP should focus on the design of employee ownership, employee stock ownership, equity price, object ownership, financing scheme, and restriction mechanism, exit mechanism and other aspects, to establish scientific and reasonable ESOP, and focus on the problems in the implementation process of time arrangement, not employees holding negative influence by dual ownership, maintain control of the company, the Internet start-up companies ESOP laws and regulations, tax policy, equity transfer and other macroeconomic policies are analyzed, and put forward the shortcomings of macroeconomic policy. And further to the unit A company ESOP implementation reasons, programs, objectives, implementation effect, deficiencies and other specific program design and implementation as an example of specific design and key points of analysis. | |
