中文摘要: | 党的十八届三中全会掀起了国企混合所有制改革的新一轮高潮。本轮改革以“1+N”系列政策为指引,重点在国企垄断的电力、石油、天然气、铁路、民航、电信、军工等领域尝试并推进了更大力度的体制机制变革,目的是通过引进非公有制资本来优化企业内部的产权结构,建立现代企业制度和完善的内部治理结构,以市场为导向推行科学有竞争力的人事薪酬体系,提高国有企业的运营效率和竞争力,从而提升国有资本保值增值的能力。论文研究内容与以往研究的主要区别在于以中海油安技服具体案例作为混合所有制改革研究的呈现形式。当前国企混改的研究大多基于宏观层面就国家的政策导向、实施路径及效果进行分析,或仅针对如股权多元化、员工持股、公司治理等若干问题中的一个方面展开论述。而在实际案例中从具体公司自身改革实践为背景,内容涵盖具体的引入外部投资人实施路径、员工分红及股权激励的具体方案设计、公司治理结构的具体搭建等多方面综合性整合改革的案例分析并不多见。目前石油天然气行业的国家石油公司在探索实施混合所有制改革方面取得了重要的进展和成果,论文就以中海油安全技术服务有限公司混合所有制改革实践为研究案例,重点研究垄断行业中竞争性业务企业在股权多元化、公司治理结构建立、职业经理人改革、员工分红激励、双向混改及员工持股等方面的多维度改革方案及实践做法,从改革的原因、改革的具体内容、存在问题及对策等方面进行了全面深入的阐述,为其他同类企业的改革实践提供重要参考。论文基于案例研究得出的主要结论有如下几点:一是混合所有制改革必须通过股权多元化后,由原来行政型的管理模式,转变为经济型的共管共治。二是混合所有制改革要通过薪酬体制改革、员工持股计划等形式努力打造利益共同体。三是要重点研究增量改革的方式方法,从外部增量获取资源,实现价值贡献。四是监督保障配套机制必须和混改方案配套设计和实施。案例的研究为公司未来完善改革方案,优化改革路径具有重要的参考意义和价值,也对央企轻资产性质商业性公司和其他地方国企的混改,具有一定的借鉴意义。 | |
英文摘要: | The party's the third Plenary Session of the 18th CPC Central Committee set off a new round of climax in the reform of state-owned enterprises' mixed ownership. The current round of reform with the "1+N" series of policy guidance, focus on the state-owned monopoly power, petroleum, natural gas, railway, civil aviation, telecommunications, military and other fields to try and promote the reform of institutional mechanisms for greater efforts, to the structure of property rights through the introduction of non-public capital to optimize within the enterprise, the establishment of modern enterprise system and perfect the internal governance structure, market-oriented implementation of scientific personnel a competitive salary system, improve the operation efficiency of the state-owned enterprise and competitiveness, so as to enhance the ability of increasing the value of state-owned capital. The main difference between the content of this study and previous studies is that the concrete case is the form of the study of mixed ownership reform. Study on the current state-owned enterprises mixed change is mostly based on the macro level of national policy, the implementation path and effect analysis, or only for a number of issues such as equity diversification, employee stock ownership and corporate governance in the discussion. But in the actual case to an enterprise reform as the background, the content covers the specific implementation path, introduce external investors employee bonus and equity incentive scheme design, corporate governance and other aspects of the specific building comprehensive reform and integration of case analysis is rare. At present, the oil and gas industry in the national oil company to explore the implementation of mixed ownership reform has made important progress and achievements, this paper takes CNOOC Security Technology Services Limited mixed ownership reform practice as a case study, focuses on the study of monopoly industries competitive business enterprises in the equity diversification, corporate governance structure, the establishment of occupation managers reform, employee bonus incentive, two-way mixed reform and employee stock ownership and other aspects of the multi-dimensional integration reforms and practices, from the reform reason, reform scheme design, reform of the specific content and other aspects of the comprehensive and in-depth elaboration, provides an important reference for the reform and practice of other similar enterprises. The main conclusions drawn based on the case study of the following points: firstly, shareholders must participate in the company governance by the board management; secondly, shareholders should increase the motivation of employee by dividend plan and ESOP; thirdly, the SOE reform should emphasis on the incremental reform; finally, the reform implementation should accompany with measures such as the establishment of Specialized Committee play party organization supervision, to explore the core ESOP, establish investment operations platform specific comments and suggestions for the future improvement of the reform program, which has important reference value and significance to optimize the path of reform, but also to change the mix of central enterprises asset light nature commercial company, has a certain significance. | |
