中文摘要：	经济增速的放缓和产业升级的需求促使了企业并购需求的增多，然而我国并购基金的发展还处于初级阶段，各方面还存在很多问题，缺乏专业的管理团队以及健全的法律法规，于是以天堂硅谷以及大康牧业联合设立的天堂大康基金为代表的“PE+上市公司”模式的产业并购基金应运而生，该模式产业并购基金的出现极大地促进了企业的战略发展和产业升级。 文章以天堂硅谷和大康牧业共同设立的天堂大康基金为具体研究对象，通过文献研究法、案例分析法和财务分析法这三种研究方法对天堂大康基金进行深入分析，从多个角度对选题给予论证和支撑，介绍天堂大康基金设立的背景、发展动因与募集等相关情况，分析天堂大康基金的实际运行方式以及基金设立之后的投资绩效，通过对案例的分析可知，天堂大康基金对大康牧业的股价、财务指标和战略等方面都产生了积极的影响，但是在天堂大康基金的募集和退出等方面还是存在着一些问题，针对实际中出现的问题，文章提出了四项具体可行的改进措施，包括加强投资标的的投后管理能力，设置新型资金组织结构，完善基金管理架构，设立严格的监管机制，希望通过这些改进措施，能够使天堂大康基金存在的问题得到有效地解决，使天堂大康基金得到进一步的优化，向着更好的方向发展。
英文摘要：	Both the slowdown in economic growth and industrial upgrading needs increase the demand for mergers and acquisitions, but the buyout fund development in China is still at the primary stage, there are still many problems in various aspects, the lack of professional management team and perfect laws and regulations, so Silicon Paradise Asset Management Group and Dakang Pasture Farming Company set up Paradise Dakang industry buyout fund, the Paradise Dakang industry buyout fund is “PE + listed company” mode industry buyout fund, the emergence of this model industry buyout fund has greatly promoted the strategic development of enterprises and industrial upgrading. The article takes the Paradise Dakang industry buyout fund as a specific object of study, and it uses three kinds of research methods to analyze the fund deeply, such as documentary research method, case analysis method and financial analysis method, arguments and supports are given from many angles. This paper introduces the related information of Paradise Dakang industry buyout fund, for example, the background of the fund, the development motivation and the collection and so on. At the same time, the article analyzes the actual operation mode of Paradise Dakang industry buyout fund and investment performance after the establishment of the fund, which relates to the analysis on the influence of Dakang Pasture Farming Company. Through the analysis of the case, the Paradise Dakang industry buyout fund has a positive effect on shares, financial index and strategy of Dakang Pasture Farming Company, but there are still some problems in the collection and withdraw of the fund. Aiming at the actual problems, this paper puts forward four feasible measures, including strengthening the management ability of investment target, setting up a new capital organization structure, improving the fund management framework, and setting up strict supervision mechanism. Through these measures, the problems of Paradise Dakang industry buyout fund can be effectively solved, so the Paradise Dakang industry buyout fund will be further optimized and be opposite to a better direction.
