| 中文摘要： | 随着经济的不断发展，融资需求亦随之不断迭代演进，传统金融机构、传统金融业务已很难完全满足日益丰富的金融业务需求，于是各类新型金融机构、各种创新金融业务模式应运而生，私募股权投资机构便是这其中具有重要影响力的一员。私募股权投资起源于二战后的美国，为鼓励中小企业的发展而产生了最初的雏形，经过随后几十年的演变，欧美市场逐步发展，现已建立了相对成熟的市场体系并培育出了一大批优秀的私募股权投资机构。国内私募股权投资行业的起源于1985年，在短暂的三十年内经历了从缓慢摸索到野蛮生长再到日益规范完善的变化，这期间内也陆续出现了许多特色鲜明、可圈可点的本土私募股权投资机构。 本文选取国内私募股权投资机构之一中科招商公司为例，进行其盈利模式研究。首先通过对其发展沿革、业务情况、财务数据的总结与分析，了解其发展背景及现状情况。随后通过对近3-5年的中科招商各类数据、公告的研究以及与行业数据的对比，总结其盈利模式的结构及特点，并发现其盈利模式中存在的问题，并重点从基金业务与投资业务存在利益冲突、基金投资管理能力有待提升以及直接投资业务策略尚不成熟等三个方面进行深入分析，最终从业务规划与资源配置方面、私募股权投资基金管理方面、自有资金直接投资方面等三个改进方向进行了论证。以此为国内私募股权投资机构的盈利模式研究及改进提供对照与参考。 | |
| 英文摘要： | As economy develops, the demand for finance and investment evolves at the same time. Since the traditional financial institutions and methods cannot fulfill all the market needs any more, many new types of financial institution gradually emerges. PE is an important example of these new financial institutions. After the World War II, PE originated in the US to satisfy the needs of the development of SMEs. As time goes by, PE industry in the US and Europe has become more and more standardized, and a lot of prominent PE institutions arise. PE industry in China initiated at 1985, nearly forty years later than the US. In about thirty years, PE industry in China develops quickly and many local PE institutions appear. In this essay, a local PE institution CSC Group is selected as the object of the study of profit model. Through the discussion of its history, the analysis of its financial reports, and the comparison with the average date of local PE industry, three main defects in the profit model of CSC Group could be concluded, which are conflicts of interest exist between PE funds management and direct investment, the PE funds management skills need improvements, and the strategies of direct investment is not mature enough. The essay illustrates the possible solutions from three dimensions, project planning and resource management, management of PE funds, management of direct investment. This essay would be a reference to the study and discussion of profit model of PE institution. | |
