| 中文摘要: | 随着经济进入“新常态”、金融全球化与市场化进程的推进,商业银行已经进入了“微利”的时代。回应产业发展的新环境、大力推进战略转型已成为商业银行生存与发展的必然选择,也是全面落实我国金融产业乃至我国经济发展转型升级的重要基础。从实施层面上看,如何突破战略转型的阻力,从多个层面分析战略转型及其路径选择的核心驱动力,已成为商业银行面临的重要问题。 本研究回应现实需求,首先,利用归纳的研究方法提炼了我国商业银行的战略转型的构成要素,形成了商业银行战略转型的客户结构优化和业务结构优化路径,分析了两种战略转型路径的属性特征;其次,构建了商业银行战略转型及路径选择的驱动力模型,并结合公司治理的特征与属性,提出了公司治理不同维度的特征变量对商业银行战略转型及其路径选择影响的基本假设;最后以我国上市的商业银行为研究样本,一方面,检验了以客户结构优化为导向的商业银行战略转型路径和以业务结构优化为导向的商业银行战略转型路径的相关关系,以及基于两种路径的战略转型程度对商业银行盈利能力的影响关系;另一个方面,从外部治理环境、管理者激励、董事会结构、股权特征以及管理者权力五个方面检验了公司治理对商业银行战略转型及路径选择的影响。 本研究的创新之处在于,基于多要素内部“拟合”的逻辑构建了“视角”相对独立的商业银行战略转型的基本路径;从组织外部、组织内部、决策者三个层面系统地揭示了商业银行战略转型的驱动力及形成机制;基于战略转型驱动力模型,融合公司治理的多种职能属性,构建了战略转型引导视角下公司治理研究功能分析框架。研究结论表明:从实践的层面看,商业银行战略转型的客户结构优化路径和业务结构优化路径存在着替代关系,客户结构优化路径属于“渐进性”战略转型,而业务结构优化路径属于“激进性”战略转型;外部产业制度的创新对商业银行战略转型具有驱动效应,市场化的氛围对客户结构优化路径具有显著驱动作用,而业务结构优化路径更依赖于商业银行内部创新能力;内部公司治理特征会通过资源供给效应和委托代理冲突的缓解职能显著地影响商业银行战略转型及路径的选择偏好。 | |
| 英文摘要: | With the economy entering the "New Normal", and the promotion of financial globalization and the marketization process, commercial banks have entered the era of "micro-profits". It has become inevitable choices of survival and development for commercial banks to respond to the new industry environment and to promote the strategic transformation whichare also the important foundations of fully implementingthe transformation and upgrading of China'sfinancial industry and even economic development. From the implementation level, how to break through the resistance of strategic transformation and analyzing the core driving force of strategic transformation and its path selection from multiple levels have become important issues for commercial banks. Responding to the background and demand of reality, first of all, this thesis uses the inductive research method to refine the components of the strategic transformation of Chinese commercial banks, and forms the customer structure and business structure optimization paths. On that basis, this thesis analyzes the attribute characteristics of the two strategic transformation paths. Then, this thesis buildsthe driving force model of the strategic transformation andits path selectionfor commercial banks. In addition, combining with the characteristics and attributes of corporate governance, this thesis puts forward the basic assumptionsof howcorporate governancecharacteristics of different dimensions impact the strategic transformation ofcommercial banks and their path selection.Finally, using China's listed commercial banks as the research sample, on one hand, this thesis examines the relationship between the strategic transformation path oriented by customer structure optimization and the strategic transformation pathoriented by the business structure optimization. Moreover, we further analyze how the degree of strategic transformation based on the two pathsinfluencesthe profitabilityof commercial banks. It aims to reveal the relationshipattribute and value creation between the two kinds of paths; On the other hand,this thesis examines the impact of corporate governance characteristics on strategic transformation and path selection of commercial banks from the external governance environment, the manager incentive, the board structure characteristics,ownership characteristics,and managerial power five dimensions, which confirms and modifies the driving force model of the strategic transformation and its path selectionbased on the corporate governancefor commercial banks. The innovative points of this thesis areas follows. First, based on the logic of multi-element internal "fitting", the relatively independentbasic paths of the strategic transformation of commercial banksare constructed;Second, the driving force and forming mechanism of commercial banks' strategic transformation are systematically revealed from the three levels of external organization, internal organization and decision maker; Third, based on the strategic transformation driving force model, the multi-functional attributes of corporate governance are integrated, and the functional analysis framework of corporate governance research is constructed from the perspective of strategic transformation guidance. Research results indicate that, from the perspective of practice, there is a substitute relationship between the customer structure optimization path and the business structure optimization pathof strategic transformation of commercial banks. The customer structure optimization path belongs to the "incremental" strategic transformation, while the business structure optimization path belongs to the "radical" strategic transformation; Furthermore, the innovation of external industry system has a significant driving effect on the strategic transformation of commercial banks. The atmosphere of marketization plays an important role in driving the strategic transformation path for customer structure optimization, while business structure optimization path is more dependent on the internal innovation ability of commercial banks.The internal characteristicsof companies can significantly influence the strategic transformation and path selection preference of commercial banks through the resource supply effect and the remission function of the principal-agent conflict. | |
