中文摘要：	民营企业是国家经济发展的重要组成部分，公司治理对企业的经营状况和经营水平有着重大影响。北京欧润特科技有限公司简称欧润特科技，前身是清华大学产业集团的骨干企业之一清华汽车技术公司，多年来一直致力于汽车安全和环保行业的高科技领域，在汽车维修诊断设备、汽车安全检测、排放污染控制、排放检测方法、环保网络技术应用等方面一度独领风骚。但逐步被深圳安车、石家庄华燕、佛山南华等跟随者超越。欧润特科技在行业内名气巨大，但规模与绩效停滞不前，有成为不老树型企业的倾向。本文对欧润特科技从公司治理的角度予以分析，在中小企业之中有代表性。优化公司治理结构与机制成为企业发展的必然，探讨和研究公司治理问题是促进欧润特科技健康发展的重要课题。 在对国内外相关研究文献进行回顾的基础上，本文综合运用公司治理理论、经济学和管理学等理论与方法，对欧润特科技公司治理优化问题进行了研究。首先，介绍公司治理有关的理论及相关概念，为后续课题研究提供理论方面依据。其次，从多个维度分析了欧润特科技公司治理现状，发现其公司治理方面存在的问题及问题产生的原因。最后，依据相关理论和欧润特科技的特殊内外部环境，提出了优化欧润特科技公司治理的对策: 优化欧润特科技的股权结构；规范股东大会、董事会、监事会的治理，引进和完善经理人激励机制，优化内部治理结构；构建外部利益相关者协商与制衡机制，优化外部治理结构。 这些研究成果对优化欧润特科技公司治理结构具有重要的指导价值，能促进其持续健康的发展，再夺国内汽车检测设备行业龙头地位，从而为我国机动车安全与环保事业保驾护航、贡献力量；同时，对处于腾飞前期的中小企业具有一定的借鉴意义。
英文摘要：	As an indispensable part of national economic development, Private enterprises should attach importance to the corporate governance, which would impact the management and operation level of it. Orient S&T, the predecessor of Qinghua vehicle Technology Co., Ltd., which was the one of the backbone belong to Qinghua University industry group, is contributed to the hi-tech field of vehicle security and environment protection, and also was the top rank on equipment of the vehicle repairing diagnosis, vehicle security diagnosis, emission controlling, emission detection, environment net protection application etc. However, it was overtaken gradually by the followers these years, such as Shenzhen Anche, Shijiazhuang Huayan, Foshan Nanhua etc. Since Orient S&T has fame in the field, its range and achievement development stopped, would become a Not Old Tree. This paper would like to analyse Orient S&T on the aspect of corporate governance, which has the representativeness in the midst of mid-small enterprises. Optimizing the corporate governance structure and mechanism would be necessary, discussing and researching the corporate governance would be the essential issue for boosting the health development of the Orient S&T. Based on reviewing the relative research documents of domestic and globe, this paper researches the corporate governance optimizing issue by utilizing the corporate governance theories, Economics and management theories and methods. Firstly, introducing the theories and concepts relating to corporate governance provides the theories foundation for the consequence researching. Secondly, analyzing the status of its corporate governance from diverse dimensions, and discovering the problems and roots about the corporate governance. Finally, according to the theories and the special internal and external surrounding of Orient S&T, gives the measures to optimize its corporate governance: adjusting the share structure, regulating the governance of share congress, board of directors, board of supervisors, fetching in the mechanism of the manager incentive, perfecting the inner management structure, establishing exterior governance structure, establishing the mechanism of consulting and balancing with exterior stakeholder. These research achievement has important instructions value to optimize governance structure of Orient S&T, could boost its health and continuous development, reobtain the top rank of vehicle detection equipment field, thereby to contribute power for the vehicle security and environment protection, meanwhile, give the reference to the mid-small enterprises in the proceeding of soaring.
