中文摘要：	中国船舶产业投资基金是由国务院国家发展和改革委员会批准的我国最早的十支产业投资基金之一，也是我国唯一专注于船舶航运产业及其产业链上下游领域船舶资产和股权投资的基金。产业投资基金作为一种特定形态的金融组织，研究剖析有限合伙制产业投资基金的组织治理结构实有必要，也对促进我国产业投资基金的发展，具有相当重要的理论与现实意义。本文综合运用理论分析、实例分析和对策分析的方法，探讨了船舶产业投资基金的治理问题，并提出了我国产业投资基金治理亟待解决的问题与对策建议。本文除绪论部分外，主要由以下内容构成。第一部分主要内容为相关基础理论的概述，分析了产业投资基金治理的定义与特点；简要分析了产业投资基金的定义、功能、分类及特点；对船舶产业投资基金进行了简要介绍。第二部分对中国船舶产业投资基金的组织形式、治理结构与治理机制进行深入的分析。通过对中国船舶产业投资基金组织形式的选择、治理结构与治理机制的设计分析，进而延伸到有限合伙制产业投资基金的组织治理机制分析。第三部分对船舶产业投资基金治理存在的问题以及问题产生的原因进行了全方位的剖析，并针对性地提出了解决方案。第四部分是从各个角度出发，阐述了我国产业投资基金发展亟待解决的问题并提出相应的对策与建议。本文从组织治理机制以及激励与约束机制的角度对中国船舶产业投资基金进行了详尽分析，并对船舶基金现阶段存在的问题提出了解决方案，在此基础上，进一步指出了我国产业投资基金未来亟待解决的问题。本文认为，虽然我国有限合伙制产业投资基金面临的问题较多，但只要我国尽快完善相关法律法规制度与监管体系、健全信用体系建设、加强专业人才培养体系，同时政府给予积极的引导，有限合伙制产业投资基金未来一定可以作为我国的经济发展的不熄引擎，为促进我国经济转型与创新发展提供持久推动力。关键词：船舶产业投资基金；委托代理；制衡机制；治理结构；治理机制
英文摘要：	China Ship Industry Investment Fund is one of the ten earliest industrial investment funds approved by National Development and Reform Commission, and is also the only fund which focuses on the Marine shipping industry as well as the assets and equity from its upstream and downstream industrial chain. Industrial investment fund as a kind of specific forms of financial organization, there is very important theoretical and practical significance for the development of industrial investment fund in our country to study and analyze the governance structure of limited partnership industry investment fund organization. This article probes into the governance problems of the Ship Industry Investment Fund, puts forward the problems to be solved in industrial investment fund governance and introduces some suggestions through theoretical analysis, case study and the countermeasure analysis. It mainly consists of the following contents. The first part is an overview of related basic theories and analyzes the definition and characteristics of industry investment fund governance. The definition, function, classification and characteristics of industrial investment fund are briefly analyzed. The Ship Industry Investment Fund is briefly introduced. The second part introduces the organization form, governance structure and governance mechanism of China Ship Industry Investment Fund. And then it extends to the analysis of limited partnership organization governance mechanism in industrial investment fund through the study of China Ship Industry Investment Fund governance structure, governance mechanism and its design. The third part analyzes the existing problems of the investment fund and their root causes, and puts forward the solutions. The fourth part expounds the problems of the development of China's industrial investment fund and puts forward corresponding countermeasures and suggestions from different aspects. This article has carried on the detailed analysis from the organization's governance mechanism and the Angle of incentive and constraint mechanism for China Ship Industry Investment Fund, and put forward the solution of existing problems in the ship fund at this stage. On this basis, the problems of industrial investment fund in our country are pointed out. This article argues that, although we are facing many problems in limited partnership industrial investment fund, limited partnership industry investment fund will be another non-extinguished engine of economic development in our country if we improve the relevant laws and regulations system and supervision system, the construction of credit system, strengthen professional personnel training system and at the same time the government to give positive guidance, to promote the development of China's economic transformation and innovation.
