中文摘要：	长期以来，我国国企自公司治理方面一直存在着种种问题和瓶颈，自从十八届三中全会以来，混合所有制改革成为了国企改革的核心内容，我国国有企业的混改进程也已经进入了改革的深水区。发展混合所有制不可否认对我国国有企业具有重要的意义，同时也对我国国企的公司治理方面提出了严峻的挑战，也提出了公司治理方面新的问题。混合所有制这一概念的提出和实行为我国国有企业面临的困境提出了新的理论研究方法和改革实践空间。基于这个背景，本文对在混合所有制改革背景下的国有企业公司治理的机制安排和实施方案提出了系统性的研究，并提出了建议和可行性方案。 本文首先介绍了该方向的研究背景和意义，对公司治理理论、现代企业理论、产权理论、委托代理理论等基础理论对典型公司治理模式进行了梳理，总结提炼出相应的理论框架作为比较分析和案例论证的理论支持；之后对我国国有企业公司治理以及混合所有制现状进行了分析以及原因剖析；同时，本文对新加坡淡马锡模式的介绍以及、治理模式及特点以及其在我国国企混改的参考意义深入分析，从而更全面的为本文论点提供支撑；本文深度分析了深度探究了TY公司所面临的经营困境、面临的政策环境；之后对TY公司在混合所有制改革的进程中做出的公司治理的变革做出了分析和评价，并提出了切合该公司的意见和建议，最后得出了普适性的结论。 针对在调查中发现的TY公司的问题，本文提出了系统的优化方案：首先，从公司的股权结构入手，提出建立多元且适度集中的股权结构；其次，建立健全的股东决策体系，保证股东大会对于公司重大决策方面具有快速反应能力；再次建立董事会体系建设，补充独立董事，构建专项委员会；最后强调了提升监事会监督能力和独立性以及经理层的激励的重要性以及长期性。 以上的分析结论主要以TY公司为研究对象，是基于国有企业非上市二级公司的所有混合制改革，重点在于混改过程中不同所有制的股东背景的均衡性对公司治理的影响。
英文摘要：	For a long time, China's state-owned enterprises since the corporate governance has been a variety of problems and bottlenecks, since the Eighth Plenary Session since the mixed ownership reform has become the core content of state-owned enterprise reform, China's state-owned enterprises of the process of reform has also entered the reform deepwater zone. The development of mixed ownership can not be denied to China's state-owned enterprises is of great significance, but also on China's state-owned corporate governance aspects of the serious challenges, but also put forward new issues in corporate governance. Mixed ownership of the concept of the proposed and the implementation of China's state-owned enterprises facing the plight of a new theoretical research methods and reform practice space. Based on this background, this paper puts forward a systematic study on the mechanism arrangement and implementation plan of corporate governance of state-owned enterprises under the background of mixed ownership reform, and puts forward some suggestions and feasible schemes. This paper first introduces the research background and significance of this direction, combs the typical corporate governance models, such as corporate governance theory, modern enterprise theory, property right theory and principal-agent theory, and sums up the corresponding theoretical framework as comparative analysis and The author analyzes the theory of state-owned enterprises and the situation of mixed ownership, and analyzes the reasons. At the same time, the introduction of the Temasek model in Singapore, the governance model and its characteristics, and its reference significance in China's state- This paper analyzes the depth of the TY company facing the business difficulties, the policy environment facing; after the TY company in the process of mixed ownership reform made in the process of corporate governance changes Made the analysis and evaluation, and put forward the company's comments and suggestions, and finally reached the conclusion of universality. In order to solve the problem of TY company found in the survey, this paper puts forward the optimization plan of the system: firstly, from the ownership structure of the company, put forward the establishment of a diversified and moderately centralized ownership structure; Secondly, establish a sound shareholder decision-making system to ensure that the shareholders The ability to respond quickly to the company's major decision-making; the establishment of a board of directors system, the addition of independent directors and the construction of special committees; and the emphasis on the importance and long-term nature of the supervisory capacity and independence of the board of supervisors and the incentives of the manager. The above analysis mainly takes TY company as the research object and all mixed reform based on the non-listed secondary companies of state-owned enterprises, with emphasis on the influence of the balance of shareholders background of different ownership on corporate governance in the process of reform.
