| 中文摘要: | 为适应激烈竞争的外部环境,企业势必要进行资源优化和调整,以寻找适合企业发展的管理模式。大量的成功案例已经证明,重组是企业资产扩展的重要手段之一,是市场经济高度发展的结果。企业重组是为了合并不同领域的下属公司,减少管理跨度,降低二级公司的数量。国内外重组都经历了不同的发展阶段,以市场化程度比较高的美国为例,先后经历五次的重组阶段。国内也随着市场经济的建立发生了两次大的发展阶段。 C公司所属的集团公司是以核电为主的独立发电商,在风力发电领域、太阳能发电领域、水力发电领域等都成立独立公司经营。从外部环境看,国家政策、经济形式等都发生较大变化,内部环境上,各业态形成了竞争且未能形成合力。为保提升核心竞争力,形成协同效益,C公司将风电、太阳能、水电领域的发电公司进行重组,以更好的应对市场变化。 论文旨在提炼整合优势的基础上,以C公司整合为案例,总结了重组理论和组织变革的理论,分析了重组的动因,对重组进行规划,并确定发展战略。阐述了整合实施的路径,包括整合方案制定,整合具体实施,整合的风险控制。并进行评估和提出不足与改进方向。结合C公司目前的管理现状和存在的问题,在借鉴国外企业先进经验基础上,改进C公司管理组织体系,实施价值提升战略,从而加强公司在行业中的整体竞争力。 | |
| 英文摘要: | In order to adapt to the external environment of fierce competition, it is necessary for enterprises to optimize and adjust their resources so as to find a management model suitable for the development of enterprises. A large number of successful cases have proved that reorganization is one of the important means of enterprise asset expansion, and is the result of the highly developed market economy. Consolidate companies in different areas, reduce management spans, and reduce the number of tier two companies. At home and abroad, restructuring has undergone different stages of corporate restructuring. As an example, the United States, which has a relatively high degree of marketization, has undergone five stages of reorganization. At home, with the establishment of market economy, there have been two major stages of development. C's group is an independent generator based on nuclear power, and operates independent companies in the field of wind power generation, solar power generation, and Hydropower generation. From the external environment, the national policy and economic form have changed greatly. The internal environment has formed competition and failed to form a joint force. In order to enhance the core competitiveness and to form synergy, C will restructure the wind, solar, hydropower and other power generation companies to better cope with market changes. The paper aims at refining the integration advantages and taking C company integration as a case. It summarizes the theory of reorganization and organizational change, analyzes the motivation of the reorganization, plans the reorganization, and determines the development strategy.
