| 中文摘要: | 中国企业海外并购数量和海外并购金额持续性增长,海外并购频率日渐加快,海外并购金额屡次刷新成交纪录,海外并购国际大型企业现象屡见不鲜。但与此同时海外并购失败率也高居不下,海外并购成功后整合问题突出,海外并购后被海外并购企业经营业绩恶化现象凸显以致于连累母公司经营业绩。海外并购相关研究是近些年各领域研究热点所在,国内在情报学领域研究海外并购竞争情报较为少见,本文主要研究跨国公司海外并购的竞争情报模式,为企业管理层在进行海外并购过程中提供情报支持,最终为海外并购决策提供竞争战略支持,以降低海外并购失败率。设计出一个合理的跨国公司海外并购竞争情报模式,基于海外并购流程进行海外并购竞争情报研究是本文亟待解决的重要问题。本文将结合竞争情报相关理论,设计出符合跨国公司海外并购这一特殊主体,以中海油海外并购尼克森为具体案例进行分析,将理论分析模式与实际案例相结合来研究海外并购竞争情报模式。 本文将从情报学的角度,运用情报学的理论和方法,并结合石油企业特定行业背景,对海外并购的竞争情报进行实际领域的研究,主要研究内容如下: (1)运用情报学的理论和方法,在跨国公司海外并购各阶段做竞争情报流程研究,在跨国公司进行海外并购准备阶段、执行阶段和整合阶段分阶段做竞争情报模式研究,构建面向海外并购的竞争情报模式。 (2)对中海油海外并购尼克森公司这一实际案例进行案例分析,以案例研究的方式去阐述海外并购竞争情报模式具体应用。 (3)讨论保证海外并购成功率,在海外并购过程中,情报人员扮演的角色,讨论海外并购的人员配置、团队建设等问题。 | |
| 英文摘要: | The number of overseas mergers and acquisitions M & A and the amount of overseas mergers and acquisitions M & A continued to grow. The overseas mergers and acquisitions M & A are becoming increasingly frequent. The amount of overseas mergers and acquisitions has repeatedly refreshed the transaction records. It is not uncommon for overseas large-scale mergers and acquisitions. However, at the same time, the failure rate of overseas mergers and acquisitions is also high. The problems of integration after overseas mergers and acquisitions are outstanding. The worsening performance of overseas mergers and acquisitions enterprises after overseas mergers and acquisitions has highlighted the operating results of the parent companies. The research on overseas mergers and acquisitions M & A is the focus of research in all fields in recent years. It is relatively rare for domestic intelligence research on M & A in the field of information science. This paper mainly studies the competitive intelligence model of M & A for MNCs in overseas mergers and acquisitions Provide intelligence support and ultimately provide competitive strategic support for overseas mergers and acquisitions decisions in order to reduce the failure rate of overseas mergers and acquisitions. To design a reasonable competitive intelligence model of overseas M & A for MNCs and to study the competitive intelligence of M & A overseas based on the overseas M & A process is an important issue to be solved urgently in this paper. Based on the theory of competitive intelligence, this dissertation will design a special subject which is in line with the M & A of overseas MNCs and analyze the case of CNOOC's overseas mergers and acquisitions NYSE. The paper will combine the theoretical analysis with the actual case to study the competitive intelligence model of overseas M & A. This article will use the theory and method of information science from the point of view of information science and combine the background of specific industries of petroleum enterprises to study the actual field of competitive intelligence of overseas M & A. The main research contents are as follows: (1) Applying the theory and method of information science, this thesis studies the competitive intelligence process in the stages of overseas M & A by multinational corporations. In the period of M & A preparation for overseas multinationals, the research on competitive intelligence model in stages of implementation and consolidation phases is phased in to build competitive intelligence for overseas M & A mode. (2) Case study of the actual case of CNOOC's overseas acquisition of Nixon Company is carried out to illustrate the specific application of the competitive intelligence mode of overseas M & A by way of case study. (3) Discuss issues such as guaranteeing the success rate of overseas mergers and acquisitions, intelligence personnel in overseas mergers and acquisitions, discussing staffing and team building in overseas mergers and acquisitions. | |
