中文摘要：	在国际和国内竞争日趋激烈的今天，企业要想保持竞争优势并实现可持续的发展离不开持续不断的创新。企业创新战略作为企业根据外部环境及自身状况所制定的发展方向，是董事会的重要战略决策。探索型创新和开发型创新作为广受学者认可的创新战略分类方式，得到了笔者的关注。本文跳脱出以往学者研究董事会结构特征和人口学特征的桎梏，从董事会战略决策过程特征的视角切入来研究程序理性和政治行为与企业探索型创新和开发型创新之间的相关关系。在此基础上，本文又对董事会评价与独立董事参与战略决策的程度对战略决策过程特征与企业创新战略之间的调节作用进行了研究。 实证研究结果发现：（1）企业的董事会战略决策过程特征（程序理性和政治行为）与企业的创新战略（探索型创新和开发型创新）都存在显著的正相关关系；（2）董事会评价对董事会程序理性与探索型创新和开发型创新之间的关系没有显著的调节作用，对董事会政治行为与探索型创新和开发型创新之间的关系有显著的负向调节作用；（3）独立董事参与决策的程度对董事会程序理性与探索型创新和开发型创新之间的关系没有显著的调节作用；对董事会政治行为与探索型创新和开发型创新之间的关系有显著的负向调节作用。 研究结论为企业董事会的运作提供了一些指导意见，如：企业董事会在创新战略决策的过程中可以推进建设有包容性的团队氛围，推动董事会的程序理性；企业应该客观对待董事会中的政治行为，不能一味的禁止，因为董事会决策中所显现出来的政治行为也可以促进企业创新战略的制定与执行。企业管理者可以通过完善自身的公司治理机制，如完善董事会评价制度，鼓励独立董事更多的参与到企业的战略决策过程中来充分发挥治理机制的监督功能，从而进一步敦促政治行为对创新的正向促进作用。企业在实践管理中，应对这两种战略决策过程特征进行权衡，选择适合企业的创新战略来实施创新行为。
英文摘要：	With the increasingly fierce international and domestic competition, enterprises must have several innovation behavior if they want to maintain competitive advantage and achieve sustainable development. Innovation strategy, which is the development direction of the enterprise, is the most important strategic decision of the board of directors according to the external environment and its own situation. As the classification of innovation strategy, exploration innovation and exploitation innovation are widely recognized by scholars and has arose the author's attention successfully. The previous research were about board structure characteristics and demographic characteristics. Thus, the essay wants to explore the relationship between the strategy decision process characteristics such as the procedural rationality and political behavior and explorative innovation and exploitative innovation. Based on this, the essay also studies the moderating effect of the board of directors' responsibility evaluation and the degree of independent directors' participation in strategic decision making on the characteristics of strategic decision-making process and the enterprise innovation strategy. The final results of the empirical study find: (1) the board of directors of enterprises strategic decision process characteristics (procedural rationality and political behavior) and enterprise innovation strategy (explorative and exploitative innovation) have significant positive correlation; (2) the evaluation of board of directors duties to explore the relationship between procedural rationality and exploration innovation and exploitative innovation has no significant regulation; the relationship between political behavior and explorative and exploitative innovation has negative moderating effect on the board;(3) the participation of independent directors to explore the relationship between rationality and procedural innovation and exploitative innovation is not significant regulation; relationship between political behavior and explorative and exploitative innovation has negative moderating effect on the board of directors. The conclusion of the study provides some suggestions for the board of directors of the enterprise operation, such as: the board of directors of the enterprise should pay attention to the construction of inclusive team atmosphere in the strategic decision-making process, promote the rational procedure of the board of directors; The board of directors should be appropriate to encourage the evaluation on the duty of the board of directors, should encourage the independent directors to be more involved in the process of strategic decision making of enterprises, and play the function of supervision better to promote the innovation. Finally, enterprises should balance the characteristics of these two strategic decision-making processes, select the appropriate business innovation strategy, and implement appropriate innovation behavior.
