中文摘要: | “石油”作为国家工业发展的“润滑剂”对社会、经济等各方面的发展都产生着尤为重要的影响。经过几十年的快速发展,我国已经成长为石油化工业的生产和消费大国,但同时也迎来了重要的战略转型期。石油化工业经过一系列战略重组,形成了“三桶油”的寡头垄断格局,使地方国资委下属的化工企业面临更加激烈的竞争格局。由内而外的战略转型迫在眉睫,公司治理也在不断演化中。虽然放眼整个天津石油化工领域,渤海化工集团是其中较为大型的企业。但是,不可否认的是,即使是这样一个资源配置等各方面都齐全完善的公司,在治理方面依旧存在很大的弊端,这些弊端的存在,使得渤海化工集团的发展明显出现了后劲不足的情况。为了给渤海化工集团未来的发展提供具有价值的参考意见,笔者将借鉴石油化工等各方面的理论研究文献,并结合渤海石油化工集团当下的发展现状对课题展开分析和深入探究。以下,笔者将简要阐述文章研究的大致思路。本课题参考了部分石油化工集团在管治方面的重要理论研究,对渤海化工集团管理的实际情况展开了调查分析,同时在此基础上提出了相对应的有效解决办法。在本文第一章绪论部分,笔者详细阐述了研究该课题具有的实际价值和现实意义,就全文结构的划分进行了简述。第二章是文献回顾,在本章笔者综合了国内外该领域的众多权威研究和理论分析,以此来为文章后续的探讨提供理论支持。第三章主要就研究对象当前存在的治理问题进行了探讨。在开展具体的探讨工作前,笔者还对石油化工业行业的功能特点以及相关结构问题做了较为全面的分析,从而为之后对研究主体现状的探讨以及其中存在的问题的解决奠定基础。第四章笔者在综合前三章的基础上,从科学有效的角度出发,提出了解决问题的方法。第五章是结论,笔者对上文进行了简要的总结,旨在为渤海化工集团公司未来的治理提供全新的思路。笔者认为,对于渤海化工集团公司治理问题的解决主要可以从以下三个层面进行:首先在当前公司建立的股权结构的基础上进一步对各个股权加以合理分配,并健全相关制度管理体系;其次从激励和管治方面出发,对原来集团的薪酬体系进行调整;最后注重技术人员的能力和素养的提升,加强管理力度,全面整合集团外部管理机制。关键字:石油化工业 渤海化工 公司治理 集团治理 | |
英文摘要: | The petroleum industry is the pillar industry of the national economy, which plays a very important role in the development of Chinese society and economy. After decades of rapid development, China has grown into a big country of production and consumption of petroleum and chemical industry, but also has an important strategic transformation period. After a series of strategic restructuring of the petrochemical industry, the formation of the three barrels of oil monopoly pattern, so that the local SASAC subordinate chemical enterprises are facing more intense competition. From the inside out of the strategic transformation is imminent, corporate governance is also evolving. As a subsidiary of Tianjin SASAC chemical industry group, Bohai chemical group, the problem of corporate governance is still more prominent, the defects of the governance mechanism has been formed in Bohai chemical industry group to further develop the institutional obstacles. This paper tries to analyze and discuss this important issue from two aspects of theory and practice, from two aspects of internal governance and external governance. This dissertation consists of five parts: introduction, literature review of corporate governance, current situation and problem analysis of Bohai chemical industry group, and suggestions on improving the management mechanism of Bohai chemical industry group. The first chapter is the introduction, which introduces the research background, the significance of the topic and the research ideas and structural arrangements. The second chapter is the literature review, introducing the theory of internal governance, external governance theory, state-owned enterprise and the theory of the management of the petroleum based Industrial Company. The third chapter is the analysis of the current situation and problems of governance of Bohai chemical industry group, first introduced the petroleum industry characteristics and the status of industry structure, and then introduces the Bohai chemical industry group and its internal governance and external governance status quo, then summarizes the existing Bohai chemical group internal and external governance issues and analyzes the reasons. The fourth chapter puts forward suggestions to improve the corporate governance of Bohai chemical industry group, and puts forward some suggestions from three aspects of stock ownership structure, salary system and talent market. The fifth chapter is the conclusion, elaborated this article research summary, and narrated this article to the conclusion to the Bohai chemical industry group governance mechanism development enlightenment. In this paper, to strengthen the Bohai Chemical Industry Group Corporation Governance from three aspects: the ownership structure should be completed corporate restructuring to improve the proportion of equity structure, establish the management system of general meeting of shareholders, board of directors and supervisors; incentive and restraint in the management of the Bohai chemical industry group should improve the executive compensation system, establish in the labor market appointment mechanism; governance should improve the technology and management aspects, strengthen its in Bohai chemical industry group in the role of external governance.
