中文摘要：	民营企业是国家的经济发展的重要组成部分，公司治理对企业的经营状况和经营水平有着重大影响。云南盘红煤业集团是云南省昭通市镇雄县的一家民营煤矿集团，在云南淘汰煤矿落后产能、煤炭市场持续低迷的背景下，公司面临的生存压力徒然猛增。如何顺应经济形势的发展，从现代企业制度的要求出发，完善公司运行制度，提升内部治理水平，实现可持续创新性发展是集团公司在未来很长一段时间内需要重点考虑的问题。同时，公司治理不完善成为制约企业发展的根源，探讨和研究公司治理问题是促进盘红集团健康发展的重要课题。 本文在对国内外相关研究现状进行回顾的基础上，综合运用公司治理理论、经济学和管理学等理论与方法，对盘红集团公司治理问题进行了研究。首先，详细介绍公司治理的相关理论及相关概念，为后续课题研究提供理论参考依据。其次，从六个维度分析了盘红集团公司治理现状，发现其公司治理方面存在的问题及问题产生的原因。最后，依据相关理论和盘红集团的特殊内外部环境，提出了完善盘红集团公司治理的对策: 调整盘红集团的股权结构；完善内部治理结构，规范股东大会、董事会、监事会的议事规则和权利义务，建立各相关利益主体的制衡机制；完善公司的基本制度及内控制度体系；职业经理人的引进和完善人才激励机制；建立现代企业制度文化。 这些研究成果对盘红公司治理结构的完善具有重要的指导价值，能促进集团持续健康的发展为昭通市优秀的民营煤矿集团，从而为带动地方经济发展贡献力量；同时，对其它性质相类似的云贵地区民营煤矿的公司治理也具有一定的借鉴意义。
英文摘要：	Private enterprise is an important part of national economic development， corporate governance has a significant impact on the operation and management level of enterprises. Yunnan PanHong coal group is a private coal mine group in Zhenxiong County of Zhaotong City，Yunnan Province，Yunnan coal mine in the elimination of backward production capacity，the coal market downturn in the background，the company faces the pressure of survival have soared. How to adapt to the situation，in accordance with the requirements of the modern enterprise system，standardize the operation of the company，improve the level of management and control，to achieve new development，has become a very practical problem faced by the group. Imperfect corporate governance has become the root. In this paper， based on the review of domestic and foreign research status quo， the author applies the theories and methods of corporate governance theory， economics and management to study the corporate governance of the group. First of all，this paper reviews the relevant theories of corporate governance，which lays a theoretical foundation for the follow-up study. Secondly，the paper analyzes the current situation of corporate governance of the group from six dimensions，and finds out the existing problems and the causes of the problems. Finally，according to the special internal and external environment related PanHong coal group，puts forward the countermeasures to perfect the corporate governance of PanHong coal group: PanHong coal group equity structure adjustment; improve the internal governance structure，standardize the general meeting of shareholders，board of directors and supervisors of the rules of procedure and the rights and obligations of the balance mechanism to establish the stakeholders; improve the basic system and internal control system of the company; the introduction of occupation managers and improve the incentive mechanism; the establishment of modern enterprise system. It has important value in these research results to improve the governance structure of the PanHong coal group，can promote the sustained and healthy development of the group for the private coal mine group of outstanding Zhaotong City，so as to promote local economic development to contribute.
