中文摘要:随着全球化进程的不断深化,以及国内经济的蓬勃发展,制造业的竞争日益激烈,企业要在竞争中获取持续的优势,关键在于企业核心能力的不断提升。2008年经济危机以来,全球制造业兴起了一轮新的并购浪潮,通过并购实现企业核心能力的构建与强化,成为企业培育核心能力、保持竞争优势的有效途径。本文选取空气动力用压缩机行业的全球翘楚——AC公司作为案例企业,结合企业核心能力理论,运用案例分析的方法,研究其在国内同类产品兴起的竞争环境下,如何通过并购实现自身核心能力的拓展和强化,保持和巩固其在国内空压机市场竞争中的优势地位。本文首先运用基于核心能力概念模型的价值链分析方法识别出AC公司的核心能力为其“整合的产品开发体系”。进而,分析面对市场竞争的变化,AC公司存在的基于核心能力培育目标的并购动机。最后,通过对AC公司并购LT公司后的整合过程进行分析,归纳出AC公司实现核心能力培育的路径与方法:一方面,通过向LT公司提供核心产品和产品技术,吸收LT公司销售渠道和品牌,实现企业核心能力的拓展;另一方面,通过并购双方企业共同开展新产品开发项目这一互动过程,实现企业核心能力的强化。进一步,指出了AC公司并购整合过程中存在的不足与应当注意的问题:并购及整合时机与竞争趋势的匹配问题,以及文化整合的重要性。 AC公司并购LT公司案例所提供的核心能力培育经验具有较强的典型性和实践性,可以为同类企业的并购管理实践提供良好的借鉴意义。同时,注意AC公司并购整合中所暴露的问题并加以改善,能够更好的发挥并购对于核心能力培育的作用和意义。 
英文摘要:With the booming development of globalization and increasingly violent competition in manufacturing industry. Enhancing of corporate core competence is becoming the key to obtain sustainable competitive advantages. Especially since the economic crisis in 2008, mergers and acquisitions (M&As) are becoming an effective approach to cultivate core competence, and maintain the competitive advantage. This thesis selects AC Company, a global leader in air compressor industry, as the study subject. Based on the core competence theory, and by using case research methodology, this thesis analyzes a M&A case implemented by AC Company in the context of a changing competitive landscape, in which they achieved their cultivation of core competence and enhanced their competitive position in domestic market. By using the value chain analysis method based on the core competence concept model, this thesis firstly identifies the core competence of AC company as its integrated product development system. Furthermore, based on the core competence cultivating view, analyzes the M&A motivations of AC Company according to the variety of competition. Finally, through the analysis of the post-merger integrations of AC Company and LT Company, induces the approach of core competence cultivations: (I) By providing core products and techniques to LT Company, and absorbing LT Company’s sales channels and brand, AC Company achieved the expansion of their core competencies; (II) By implement the joint projects of new product development, AC Company released the strengthen their core competence. The researched M&A case of AC company demonstrates typicality and practicality in it, and provides a good reference for the management practice of companies in similar situation.
