中文摘要：	董事会秘书是上市公司与证券监管机构的联络人，是上市公司信息披露工作的负责人，是上市公司股东大会和董事会会议工作的筹备人，是上市公司市值管理与投资者关系的运作人。2006年我国新《公司法》的实行，第一次从法律层面确立了董事会秘书的高管地位，至此之后，我国学者对董事会秘书对公司治理与公司运营方面的研究不断增加。本文旨在研究董事会秘书特征、治理环境特征与上市公司运营规范与业绩风险的相关性。本文基于主板、中小板、创业板2011-2015年间的上市公司数据，应用描述性统计和回归分析的统计学方法进行研究分析，选取董事会秘书的薪酬水平、持股情况、学历、兼任情况、年内变更次数以及治理环境中董事会特征与高管人员特征作为解释变量，上市公司盈利水平、市值、风险、成长性作为被解释变量，对董事会秘书特征、治理环境与上市公司运营的相关性进行分析研究。实证分析结果表明：董事会秘书薪酬与持股比例对上市公司业绩与承担风险的能力显著相关，董事会规模与专业委员会设置对公司业绩产生影响，董事会持股比例与高管人员持股比例与公司盈利能力和成长性正相关。本文数据主要来源于国泰安CSMAR数据库、RESSET金融研究数据库、CCER经济数据库。统计工具选取SSPS、EXCEL。
英文摘要：	The Secretary of the board of directors of listed companies and securities regulatory agency liaison, is responsible for the work of information disclosure of listed companies is a listed company, the shareholders meeting and the board meeting preparatory work, is the relationship between the market value of listed companies and investors who operate management. This paper aims to study the characteristics of the Secretary of the board of directors, the characteristics of the governance environment and the correlation between the operating norms of the listed companies and the performance risks. The empirical results show that: the Secretary of the board of directors compensation and shareholding ratio on the performance of the listed company and the ability to bear risks was significantly related to the size of the board of directors and the Specialized Committee settings affect the performance of the company, the board of directors shareholding ratio and executives shareholding ratio and company profitability and growth are related.
