| 中文摘要: | 随着经济的发展和科技的进步,知识型企业在国民经济中占有越来越重要的地位,主要表现为越来越多的企业的发展从依靠物质资本的为主驱动,逐渐转向由物质资本和人力资本共同驱动的现状,且未来有加速转向人力资本驱动为主的趋势,这种趋势越来越明显。人力资本正在逐步取代自然资源和资本将成为本世纪社会发展的主要驱动因素,在企业中物质资本和人力资本也时刻存在着竞争和博弈,竞争和博弈的过程和结果对企业的组织机构的构成、日常经营管理、企业剩余权的分配以及企业的治理方式都产生了重大影响。 管理咨询和培训企业作为知识型企业的典型代表,这种现象在企业的发展过程中尤为明显,如何认识、适应和合理利用这种转变,对知识型企业的治理机制带了很大的挑战。在企业日常经营中出现的知识型员工的激励、人力资本的管理、股权分配等方面产生了诸多新的特点。本文通过对代表典型知识型企业的咨询业中的麦肯锡和和君咨询的治理现状分比和分析,以此阐明了知识型企业的存在的问题和治理特点。本文运用企业剩余权、人力资本激励、公司治理等相关理论知识,结合L管理培训公司的发展现状,找出存在的问题。提出进一步做好股权的设置方式、以及其他激励方式和制度建设,来明确L管理培训公司的治理方向,提出适和L管理培训公司的治理机制,提供具有实操性、可参考性的建议。 | |
| 英文摘要: | With the rapid development of the social economy and technology, the proportion knowledge enterprise has increased dramatically in the national economy. The trend of the development of the enterprise has move slowly from capital-driven to the combination of capital and human capital driven model and will move forward to human capital driven more and more fast in the future. Human capital has replaced the natural resources and capital and will be the major driven factor of the social development in this century. The relationship between the capital and material cost is more like competition and cooperation game. It has place a very important role in the organization structure, normal operation management, distribution o f the remaining right and corporation governance. Management consulting and enterprise training as the main format of the knowledge enterprise should pay more attention on how to deal with this change and transformation because it has bring a serial problems regarding to the recognize, adapt and reasonable use of the resource. Base on this concept, there are lots of new features in the daily operation process and process control such as motivation of the knowledge staff, management of the human resource and share allocations. This thesis has compared and analysis the example of the M and H ‘s corporation governance situation and try to figure out the problem s and features of the companies. This paper has used the theories of enterprise remaining right, human capital motivation and corporation governance and combine with the current situation of the L management consulting company in order to find the advantage and drawbacks of the company. Base on the results of the analysis above, the author try to give some advice on how to make the equity setting and implementation of the motivation framework to direct the corporation governance of the L Company. Moreover, this research also provides the guidance and reference on how to design and implement the corporation governance methods. | |
