| 中文摘要: | 伴随我国经济发展,家族企业在我国经济活动中扮演着越来越重要的角色。据调查,目前全国民营企业当中有70%实行家族式管理,家族企业的持续成长对保证我国经济稳定增长意义重大。而在家族企业成长过程中既表现出了鲜明的优势,也有其发展的弊端。若要想在竞争日趋激烈的市场经济大环境中实现突破式发展,完成代际传承的长远目标,就必须抓好治理,而如何在我国经济转型升级的时代抓好家族企业的治理,实现家族企业的长远发展也就成为眼下研究的重点。 本文拟通过六个部分来进行论述,第一部分为导论部分,主要介绍了本篇论文的研究背景、研究目的和意义,以及与此相关的国内、外研究现状,并简要概括了本文研究的主要思路和研究内容。第二部分阐述了相关理论基础,包括民营企业治理理论,家族企业治理理论,企业成长理论和企业文化部分。第三部分主要阐述昊悦集团创业阶段的个人权威治理,包括初创期中以生存力为中心的企业目标,以及治理过程中采取的资源配置与整合。第四部分主要阐述昊悦集团发展阶段的规范化治理,包括以成长力为动力下的企业目标和伟大愿景,分析了集团公司治理模式的转型原因及具体过程措施,同时分析了集团公司的规范化建设的具体举措以及公司治理机制的完善。第五部分主要阐述昊悦集团成熟阶段的文化传承与创新,包括昊悦集团传统家族文化的特点,以及新形势下昊悦家族文化的创新,着重弘扬传统企业精神中的精华,并塑造“以人为本”的文化理念,同时阐述了企业软实力的打造,推动昊悦集团社会知名度的提升。第六部分为本文的结论与展望,为家族企业的治理提供参考和借鉴,并对家族企业未来的研究方向提出展望。 本文创新之处在于:有针对性的选择已有近五十年发展历史的昊悦集团作为案例,并通过大量文献归纳总结来分析企业成长与治理的过程和相互关系,探究如何通过治理模式的改型来推动家族企业的持续发展。不足之处在于:理论基础较为简单,模型构造不够严谨,不足之处自己会不断加以完善。昊悦集团的发展基本上符合企业生长周期规律,对其他家族企业的研究与治理具有一定的指导和借鉴意义。 | |
| 英文摘要: | With the development of China’s economy, the family enterprises play an increasingly important role in China's economic activities, according to the survey, the current national private enterprises of which 70% is implementing family management. While in the growth process of family enterprises, it both shows distinct advantages and disadvantages. if we want to achieve a breakthrough in the future development in the market economy environment of fierce competition, it is essential for us to complete the long-term goal of succession, also we must pay special attention to company governance, And concerning how to do a good job of governance of family enterprises in China's economic transformation and upgrading periods and achieve family enterprise's long-term development has become the focus of current research. This thesis is going to discuss the problem by six parts, the first part is an introduction, which mainly introduces the research background, purpose and meaning, as well as the related domestic and foreign research status and briefly summarizes the main ideas and content of this thesis.The second part describes the relevant theoretical basis, including private corporate governance theory, theory of family business governance, enterprise growth theory and company culture section. Third part introduces the individual authority of governance of the group in Hao Yue start-up stage , including the survivability as the center of business goals in the start-up period, and resource allocation and integration in the process of governance.The fourth part mainly introduce the standardized management of Hao Yue group in the development phase, including the enterprise goals and great vision which take growth as the driving force, and analysis the transformation reason of Corporation governance model and the transformation measures in the process, at the same time, it analysis the specific measures of the Group’s standardization construction and the perfection of corporate governance.The fifth part introduce the cultural heritage and innovation of HaoYue group in the marure stage, including the characteristics of family traditional culture, and cultural innovation of HaoYue family culture under the new situation, which foucus on carrying forward the essence of the entrepreneurial spirit and shape of "people-oriented" philosophy, and at the same time it introduces the creatation of the corparate soft power, to promote the notability of the group. The sixth part is conclusion and prospect, to provide references for family business governance and research prospects for the research orientation of the family business in the future. The innovation of the thesis is as follows, chooses HaoYue Group as an samply which has nearly 50 years of development history, and through a large number of literature summary to analysis the relationship of enterprise growth and governance processes, exploring how to promote the sustainable development of family enterprises by the transformation of governance model. The shortcomings of this thesis are as follows: the theory basis is simple and the model construction is not accurate enough, which will continue to be improved by myself. The development of HaoYue group basically accords with the business growth cycle theory and has the guide and reference meaning to the research and governess of other family business. | |
