中文摘要：	信托制度基于其法律制度的构架在国外被广泛运用于民事、商事和金融领域，具有悠久的发展历史。但信托制度在我国的发展却异常坎坷，不断的遭受清理与打压，先后历经了“六次清理整顿”，这一次次整顿既是发展教训也是我国社会经济体制对信托本土化的不断思索、尝试与扬弃的过程。近十年来信托逐渐成为我国投融资市场最活跃的金融细胞，借助制度红利、牌照红利日渐风生水起。但是伴随着我国金融改革的不断深化，经济增速从高速调整至中速，利率市场化的推进以及金融衍生品的不断丰富，信托公司乃至于信托行业进入了增长速度换挡期、前期刺激政策消化期、结构调整阵痛期“三期叠加”的状态，信托业务规模急剧下滑，传统业务遭遇发展瓶颈，创新业务模式迫在眉睫。 本文以信托公司业务发展模式为研究切入点，在探讨新常态下我国信托公司面临的重重危机基础之上，以NCT信托公司作为案例分析样本，反思信托公司传统业务模式遭遇的困境并分析目前市场部分创新业务模式的局限性，揭示信托公司转型的必要性与迫切性。然后结合市场现状与发展前景结合信托公司功能定位提出信托公司转型的几个方向，构建信托参与的主要交易模式，并通过NCT信托公司操作城市基础设施建设投资基金的实际案例进行论证阐述。 本文研究共分为六个部分，采用“总—分—总”的论文结构设计。第一部分导论，介绍选题背景、研究意义、信托基本原理、研究方法、内容及框架。第二部分到第五部分先简单介绍国内外信托发展历程，然后结合我国信托发展现状及面临的问题提出信托公司转型方向，对实际操作案例进行详尽分析与可行性验证。第六部分总括全文，概括本文主旨，对文本研究存在的不足进行反思，并对中国信托公司未来发展进行展望。
英文摘要：	The development of Trust system has a long historical standing. The framework based on its legal system is widely applied to the civil, commercial and financial fields. However, the development of Trust system in China is unsmooth due to the constant modify and crack down. It has experienced the “Six Modification”, which is not only lessens to the industry but also the experiment for localization of Trust system. For the recent decade, trust gradually becomes the most active financial cell in the investment market because of the institutional and license dividend. But since the deepening financial reform drives the trust companies into a more complex period, it is critical to innovate business pattern. By focusing on the development patterns, this article walks through the NCT CO case and tries to reveal the necessity and urgency of transition for trust companies. By analyzing the realistic case of NCT CO, this article would provide possible directions of transition and reconstruct the main trade patterns for trust industry. This article is divided into six parts: Intro, Trust History Review, NCT Status Quo, Business Model Research, NCT Case Analysis and Summary. The intro would demonstrate the background and methodology of this study as well as several fundamental knowledge of the Trust industry. Through the second part to the fifth part, the author provided a brief review of the Trust industry and analysis about the current situation of domestic Trust market. By feasibility testing, the author tried to offer potential solutions for pattern-transfor Trust companies. In the summary, a conclusion and the limitation of the text study would be extracted as well as a outlook expectation for the domestic Trust industry.
