中文摘要:我国中小工程咨询机构数量众多,但大多规模小,资源短缺,没有核心竞争力。合并重组是其取得发展壮大的有效途径。但是“宁当鸡头不当凤尾”的心态以及担心利益受损的自我保护心理阻碍了中小咨询机构合并重组之路。 WX项目管理有限公司(以下简称“WX公司”)是由烟台三家弱小工程咨询公司出于自身生存和发展的需要,通过新设合并的方式兼并而形成的工程咨询公司。起初,为了突破中小咨询机构合并重组的心态和心理阻碍,三个原创公司的创始人经相互磋商,设计了一套对各自利益近乎极致的保护方案以消除三个原创公司各自对合并到新公司后可能丧失领导地位的顾虑,并为合并重组不成功留出了退路。这是WX公司得以合并成功的先决条件。 通过合并,原来举步维艰的三个小公司都首先取得了安全的生存空间,进而得到不同程度的发展。但是,合并后的WX公司暴露出一系列问题,使公司发展出现困难。想解决这些问题,就需整合资源、理顺业务、调整股权结构,从而对公司进行重组,使公司在市场经济的环境中能够正常经营与发展。 通过重组,三个创业者都找到了有效的途经满足了自身不断变化的需求,从而达到共赢的目的。合并后进一步重组的WX公司成为一个比较规范的股份制公司,建立了较完整的公司治理结构,可以按现代企业管理理论开展经营与管理。 但是,WX公司的并购与重组受到一定限制,暴露出很多不足,特别是并购前基于静态下的制度设计,对发展过程中的一系列变数预测不足,束缚了公司的发展。为此,进一步研究中小企业合并与重组的制度设计,对国内中小工程咨询企业的发展提供更多借鉴与参考。 
英文摘要:Engineering consultation provides intellectual service of consultation and management for the decision making and implementation process of investment and construction by comprehensively using multidisciplinary knowledge, practical engineering experience as well as modern science and management methods on the base of technology. The engineering consultation industry of China started relatively late. Quite a lot of engineering consultation agencies were restructured out of the comprehensive ones established by all levels of Development & Reform Commissions, managing departments of all ministries, research institutes, planning institutes and designing institutes. There are problems such as regional monopoly, industry monopoly and industry managing system disadvantages. There are a number of engineering consultation agencies in China. However, most of them are lack of core competence. The fundamental constraint reason is the current managing system which requiring certification for business qualification and high certification for high volume business. No specialized registered personnel, no qualification, no business, no benefits, then no specialized talents will be attracted. Quite a lot of engineering consultation corporations are trapped in this negative Matthew Effect. Merger & Restructure is an efficient way of breaking negative Matthew Effect of medium and small consultancy agencies. However, only very few medium and small consultancy agencies really become stronger through merger and restructure. It is the mind of “better be the head of a dog than the tail of a lion” and self protection psychology of benefit lost that hindered the merger and restructure of medium and small consultancy agencies. WX Project Management Co. Ltd (hereinafter referred to as WX Company) is a newly established engineering consulting company consolidated by three micro ones for the sake of survival and development. In the beginning, to break down the psychological barrier for merger and consolidation, founders of the three original companies designed an extremely protective plan after consultation, which is to remain their own independence after consolidation. With this plan, the three original companies have no worry of losing leadership in the new one. They could also step back for a failed consolidation. The above are the prerequisites for the successful consolidation. The three struggling micro companies gain more space for survival and development after consolidation. Yet there are a series of problems with the newly merged WX Company. To resolve the problems, the company is to be restructured by resource integration, business straightening and equity adjustment to ensure normal operation and development. By means of consolidation and regrouping, the three entrepreneurs all found effective ways to satisfy their own ever changing needs and, at the same time, achieve the goal of all-win. The WX company which merged and then made further reorganization became a proper share-holding corporation, thus, it could be managed by modern management theory. And designed a complete set of corporate governance programs. However, the merger and reorganization of WX company was an unconventional attempt, it exposed a lot of weak points, especially the system design before the merger which was based on static state, insufficient prediction about a series of variate during the process constrained the development of company. Thus it can be seen that the further research of system design for middle and small-sized enterprises before the merger and reorganization will provide more guidance to the development of domestic middle and small-sized engineering consulting firms.
