中文摘要：	随着国内市场经济的发展，我国中小企业规模稳步扩大，经营实力不断增强。中小企业往往是由众多的投资者合资成立的，在企业成立初期，可以解决公司资金不足的难题。让企业抓住发展的机遇，快速成长。然而在我国加入世界贸易组织之后，国外拥有现代管理制度的企业进入国内，给中小企业造成巨大的经营压力。国内企业意识到企业管理制度上的落后，逐渐建立现代企业制度，成立股东大会、董事会、监事会等管理机构。然后，中小企业由于先天的不足，公司制度不完善，在企业治理中仍存在较大的问题。这些问题集中体现在中小企业股权结构复杂，存在股权机构过度集中的现象；股东大会、董事会、监事会职能不完善，监事会无法独立的完成企业监督的职能；公司的激励制度和约束制度不完善，企业管理人员付出与薪酬不对等，存在严重的委托代理问题。面对在公司治理存在的问题，中小企业通过专业咨询机构，对公司的治理结构进行优化，取得了一定的效果。江西天香林业开发有限公司于2009年7月，注册资本3000万元。公司现实行以“科研+基地+加工+贸易”相结合的产业化经营模式，主要经营油茶种植、芳樟种苗繁殖、芳樟种植及芳樟深加工生产销售。公司以生产芳樟醇、按叶素等天然香料产品深加工及相关产品为主攻方向，积极引进技术生产新产品，促使企业得以长足发展。然而公司也面临着众多中小公司所面临的公司治理问题，成为制约公司发展的瓶颈。本文通过将公司治理的研究理论应用于天香林业公司治理优化分析中，对该公司的公司治理现状进行深入的分析，提出公司治理优化方案、实施方案和评价方法。本文的研究将企业治理的理论应用于公司治理优化的管理中，为天香林业改进公司股权结构，调整股东大会、董事会等机构提供可操作的措施。 关键字：公司治理、治理结构、现代企业制度
英文摘要：	With the development of domestic market economy, small and medium-sized enterprises in our country has expanded steadily, the management strength is growing. Small and medium-sized enterprises often consist of many investors of the joint venture. At the beginning, company can solve the problem of insufficient funds firms. Business to seize development based on rapid growth. However, after China's accession to the WTO, foreign enterprises to enter the country with modern management system, to small and medium-sized enterprise caused huge pressure to operate. Behind on the domestic enterprises to realize the enterprise management system, gradually establish a modern enterprise system, set up the general meeting of shareholders, the board of directors, board of supervisors and other agencies. These problems embodied in small and medium-sized enterprise equity structure is complex, there is excessive concentration of equity agency. The company's incentive system and restriction system is not perfect, enterprise management personnel unequal pay and remuneration, there are serious principal-agent problems. Facing the problems of corporate governance, small and medium-sized enterprises through professional consultancy, optimize the corporate governance structure, obtained the certain effect. Jiang Xi TianXiang forestry development co., which is set up in July 2009, has registered capital of 30 million Yuan. Company to "scientific" + base + + processing trade of combining the industrialization management pattern, is mainly engaged in planting, seedling breeding, planting and deep processing of production sales. Company the production of linalool, natural spices such as product deep processing and related products for the main direction, and actively introduce technology to produce new products, encourage enterprises to long-term development. However, the company is faced with many small and medium-sized company corporate governance issues faced by the bottleneck which restrict the development of the company.
