| 中文摘要: | 近年来,在国内外的市场经济活动中,一种成功的新创企业形式——衍生企业频频出现,尤其是占衍生企业主体的、与母体企业在同一市场展开直接竞争的高竞争性衍生企业发展迅猛,引人注目。 高竞争性衍生企业不同于其他新创企业的最大特征便是它能够从母体企业(不管母体企业是否愿意)获取到各类显性、隐性资源,尤其是母体企业经长期积累形成的蕴含核心竞争力的隐性资源,因此,本文将联系发展相对成熟的资源论,从资源特征、资源成长视角对高竞争性衍生企业的发展路径进行研究。 首先,在目前学术界对衍生企业的研究还未形成清晰经典体系的情况下,作者结合前人研究成果和相关理论,提出了衍生企业的定义和分类,并将高竞争性衍生企业同个体创业企业以及母体企业在有形物质资源、财务资源、人力资源、组织资源和社会资源这五大资源类别上进行了逐一比较,详细剖析出高竞争性衍生企业创立之初在这五大资源类别上的特征以及优劣势。 在明确资源优劣势后,作者在结合高竞争性衍生企业创生条件相关研究基础上,提出:高竞争性衍生企业的成长路径就是高竞争性衍生企业的资源调整性发展过程——在初创期,其资源优势集中在具有丰富业内经验的人力资源上,随着母体企业阻挠打压的加强,高竞争性衍生企业将经历一系列困难,进入历练期和震荡期。高竞争性衍生企业必须依托优势人力资源,壮大财务资源和社会资源,均衡储备人力资源,发展、完善组织资源,才能顺利走出历练期和震荡期,最终完成高竞争性衍生企业成长路径,形成与行业内龙头大型企业相似的资源结构和资源优势。 同时,母体企业的态度和打压程度对高竞争性衍生企业的存亡发展有着重要影响。面对母体企业猛烈打压时,高竞争性衍生企业需要更谨慎地处理与母体企业的关系,更合适地选择产品、市场、组织文化建设战略。而所处的行业特征、性质也在一定程度上决定了高竞争性衍生企业的存活率和竞争力。 结合本研究结论,作者对如何提高高竞争性衍生企业成功率进行了思考,并建议从创业者团队人力资源结构调整、风险投资基金引入利用、企业后续资源储备发展、与母体企业关系应对处理等方面进行调整和改善。 | |
| 英文摘要: | In recent years, spin-offs have appeared frequently as a form of new firm formation in the domestic and international economic activities. Especially, as the main part of spin-offs, the high-competitive spin-offs which compete with the parent firms in the same market have gained great development. The greatest difference between the high-competitive spin-offs and other start-ups is that the high-competitive spin-offs have access to all types of the parent firms’resources (regardless of the parent firms’agreements), especially the high-competitive tacit resources accumulated by a long term. Therefore, this thesis will use resource theory to research the resource characteristics and resource growth of the high-competitive spin-offs. Firstly, because the current academic research has not yet formed a clear system, this thesis proposes a definition and classification of spin-offs on the base of previous research and related theory. Then, this thesis compares the five kinds of resources (physical resources、financial resources、human resources、organizational resources and social resources) between the high-competitive spin-offs and other firm forms, analyzing the resource advantages and disadvantages of the high-competitive spin-offs in the beginning of creation. Secondly, combining with the research of creation conditions for the high-competitive spin-offs, this thesis suggests that: The resource growth path of the high-competitive spin-offs is the resource adjustment and development process——in the embryonic stage, the resource advantages of the high-competitive spin-offs are concentrated in the human resources due to its rich experiences. When the parent firms take more and stronger hostile methods, the high-competitive spin-offs will experience a series of difficulties and enter the trail period and the shock phase. The high-competitive spin-offs must rely on the preponderant human resources,strengthening financial and social resources、balancing human resources、improving and developing organizational resources to complete the growth path and finally form the similar resource structure and advantages to the large-scale leading firms in the industry. Meanwhile,the attitude and response of the parent firms have an important impact on the survival and development of the high-competitive spin-offs. They need to be more cautious to deal with the relationships with their parent firms, more suitable to choose the product、marketing and culture-building strategies. And the industry characteristics to some extent decide the survival and competitiveness of the high-competitive spin-offs. Finally, this thesis gives some suggestions to help improve the success rate of the high-competitive spin-offs, recommending to take actions in the fields of human resources restructuring、venture capital introduction、resource accumulation、responding to the parent firms and etc. | |
