中文摘要:本次事业单位分类改革中,一部分被划分为生产经营性事业单位科研院所、勘察设计单位,按照要求将转制为企业。与此同时,国有企业改革30年以来经过多年的摸索,各项改革措施不断深化和完善,通过改革调整了机制,激发了新的活力,在发展混合所有制等问题上出台了顶层设计的相关政策。勘察设计行业体制改革也进一步深化。本文选取在本轮改革中的天津市市政工程设计研究院的改制问题为研究对象,从改制的内外因素,改制的核心问题:目标和模式如何选择,及改制的实际操作方案等角度进行研究。从理论上看,制度理论清晰的阐述了进行改制的制度动因,改制单位与上级部门之间的相互关系。产权理论,阐述了产权多元化及职工持股在建立现代企业制度中的重要作用,公司治理理论阐述了在进行公司制改造中,以制度理顺委托代理问题,实现两权分离,进行利益相关者分析的重要意义。通过理论分析,为改制提供了理论的依据。从天津市市政工程设计研究院的现状和面临的政策和行业环境来看,现有体制已严重制约了发展,同时国家政策及行业发展要求必须进行改制,改制具有十分的必要性和必然性。那么,无论是事改企还是企改制,其核心问题是改制的目标和模式选择。从天津市市政工程设计研究院的发展战略,同行业竞争对手的改制案例分析来看,技术、资本、管理成为未来发展的决定性因素,因此单位改制的目标是要建立股权多元化,职工持股的股权结构,和集团化突出主业的企业架构,并根据实际情况采取整体分离式改制这种方式来进行改制。从操作的层面来看,不同阶段各个企业的改制方案,应该科学的进行股权结构和治理机构的设计,合理合规的制订改制的包括人员安置、资产处置、职工出资在内配套方案,才能确保改制的顺利进行。本研究以天津市市政工程设计研究院的改制为研究对象,指向具体的一个单位的改制,对该单位下一步的改制有一定的参考作用,同时希望能够对本轮改制的科研院所,尤其是勘察设计单位提供借鉴和参考。 
英文摘要:Division of the reform of the public institutions, a part of the production and business units are divided into scientific research institutes, survey and design units, in accordance with the requirements of the transformation of enterprises. At the same time, 30 years of the reform of state-owned enterprises after many years of exploration, property rights, corporate governance structure in continuously perfect, change the mechanism of state-owned enterprises, stimulate the vitality of state-owned enterprises, in the development of mixed ownership problem introduced the top-level design of the related policy, survey and design industry system reform is further deepened. This paper selects in the restructuring of the current round of reform of Tianjin municipal engineering design and Research Institute as the research object, from the restructuring of internal and external factors, restructuring of the core problem: goals and how to choose the model and the restructuring of the actual operation plan angle were studied. In theory, the system theory clearly expounds the institutional motivation, the relationship between the reform unit and the higher authorities. Property rights theory, this paper expounds the pluralism of property rights and employee stock ownership in the establishment of modern enterprise system in the important role of, corporate governance theory elaborated in the corporate system transformation, to solve the principal agent relationship and realize the separation of the two rights, deal well with the relations of stakeholders in the important significance. Through the theoretical analysis, it provides the theoretical basis for the reform. From the point of view of the present situation of Tianjin municipal engineering design and Research Institute of and facing the policy and industry environment, the existing system has seriously restricted the development of, and national policy and industry development requirements must reform, restructuring is very necessary and inevitable. So, whether it is business or enterprise reform, the core issue is the goal of restructuring and mode selection. From the Tianjin municipal engineering design and Research Institute of the development strategy of the competitors in the same industry restructuring case analysis, technology, capital, management become the decisive factors in the future development, so unit reform goal is to establish a diversified ownership, employee stock ownership to the ownership structure, a group of prominent main business of the enterprise architecture and according to the actual situation take the whole separate restructuring the way to reform. From the point of view of the level of operation, the restructuring plan to enterprises at different stages of each should be scientific of equity ownership structure and the governance mechanism design, reasonable compliance formulation of reform including staffing, disposal of assets, employee investment, supporting the program, in order to ensure the smooth progress of the restructuring. This study to the reform of Tianjin municipal engineering design and Research Institute of the as the research object, pointing in the direction of the reform of a specific unit and on the unit the next step of reform has certain reference function, also hope to be able to of this round of reform of scientific research institutions, especially the survey and design units to provide reference and reference.
