中文摘要: | 混合所有制企业治理是具有极强时代意义的研究问题。中国当前转型时期的多元化制度环境特征决定了我国混合所有制企业不仅仅在于股权多元化,而是包含了行政逻辑与经济逻辑等多重制度逻辑的混合型组织。组织中多重制度逻辑所引发的持续冲突为混合所有制企业治理带来了理论与现实的挑战。本文在借鉴已有“委托—代理”研究、制度理论研究以及冲突管理研究的基础上,从制度逻辑视角探讨多元制度环境对混合所有制企业治理的影响机制,分析混合所有制企业中竞争性制度逻辑对企业可持续竞争能力的影响效果和作用途径,并探索出平衡不同制度逻辑,消除身份冲突负面影响的治理策略。 本文通过对相关研究文献的梳理和对两个探索性案例的分析,构建了在竞争性制度逻辑情景下混合所有制企业治理的演化机制模型,提出了相应的研究命题。在此基础上,通过进一步分析竞争性制度逻辑对可持续竞争能力的作用机制,构建了本文的研究模型。 随后,通过收集2006年至2014年中国沪深两市A股上市公司中的混合所有制企业的样本,实证检验了本文所提出的相关研究假设。研究结果表明:竞争性制度逻辑对于混合所有制企业的可持续竞争能力会产生负面影响,这种负面作用主要是通过非效率投资和CEO变更两条路径传递的。当混合所有制企业采用建立共同身份的策略,即对职工和高管采取薪酬激励、提供职工权益保护以及采用高质量的社会交互行为时,则会缓解由于竞争性制度逻辑所造成的身份冲突对可持续竞争能力的负面影响。 本文的创新之处和研究贡献在于:首先,本文通过制度逻辑的视角,识别出了当前我国混合所有制企业内部所包含的不同制度逻辑,即经济逻辑和行政逻辑。这为制度逻辑的研究提供了转型经济体中商业组织的样本,同时为今后混合所有制企业治理研究提供了更为清晰的研究基础。第二,本文基于以往的研究,并结合中国转型时期特有现实情境,分析了当相互竞争的制度逻辑共存于组织中时,组织内部冲突的形成原因以及如何形成有效的机制来消除冲突。这一结论丰富了组织如何处理多重制度逻辑的策略研究,也推动了对于交互作用的理解,同时还对我国混合所有制企业治理的研究做出了进一步的补充。第三,本文的研究结论扩展并深化了中国国有企业的公司治理研究,为我国混合所有制企业治理机制的设计提供了理论依据和实施参考,对于丰富治理理论和促进国有企业治理实践具有一定的借鉴意义。 | |
英文摘要: | The governance of mixed ownership enterprises is a theoretical subject with full of contemporary significance. The pluralistic institutional environment in Chinese transition period leads to the mixed ownership enterprises becoming a kind of hybrid organization which contains not only diversity of equity rights, but also multiple institutional logics, such as administrative logic and economic logic. The continuous conflicts caused by multiple institutional logic bring challenges to the governance of mixed ownership enterprises in both theory and practice. Based on the study of “principle-agency” theory, institutional theory and conflict management, this paper explores the mechanisms about how pluralistic institutional environment influence the governance of mixed ownership enterprises, analyzes the ways and effects about how competing institutional logic influence sustainable competitiveness, and finds out the governance strategies which balancing competing institutional logic and eliminating the negative effect of identity conflict. Through the review of related researches and the analysis of two exploring case studies, this paper establishes evolution mechanism model of mixed ownership enterprises which contains competing institutional logic, and presents research propositions. And then, this paper analyzes the effects of competing logics on the sustainable competitiveness, and builds the research model. After that, by taking the mixed ownership enterprises in Chinese listed companies from Shanghai and Shenzhen A-share market during 2006 to 2014 as sample, this paper reaches conclusions as follows: competing institutional logic leads to negative effects on sustainable competitiveness of mixed ownership enterprises, and such kind of negative effects is through two main paths, namely inefficiency investment and the CEO turnover. When the mixed ownership enterprises taking common identity strategy, such as adopting compensation incentive for employees and management team, guarantee of workers' rights and interests, and successful social interaction, the negative effect on sustainable competitiveness caused by identity conflict will be mitigated. The mainly innovations and contributions are as follows: First, this paper identifies the multiple institutional logics, such as administrative logic and economic logic, in mixed ownership enterprises, which provides business organization research sample in transition economy for institutional logic study, and also provides more clear foundation for the further research of Chinese mixed ownership enterprise. Second, based on the existing research and pluralistic institutional environment in Chinese transition period, this paper analyzes the reasons of internal conflict and how to design effective governance mechanisms to eliminate the negative effect of identity conflict. These findings enrich the strategic study on how to cope with multiple logics in organizations, push forward the understanding of social interaction, and supplement the research of governance of Chinese mixed ownership enterprises. Third, this study expands and deepens the study of Chinese state-owned enterprises, and provides theoretical basis and reference for design of governance mechanisms in mixed ownership enterprises. The findings of this study have referential significance for enriching the governance theory and promoting the governance of Chinese state-owned enterprises. | |
