中文摘要：	棚户区改造作为国家重大的民生建设工程，随着新一届中央政府提出，加快推进以人为核心的新型城镇化建设，改造1亿人居住的城镇棚户区和城中村，让更多困难群众的住房条件早日得到改善的号召，各级政府已将棚户区改造建设工作放到非常重要的位置上。但由于近年来财政收入的增速开始放缓,地方政府性债务规模却快速増加,财政支付压力日趋上升,原来依靠政府平台进行棚户区改造建设和运营的模式已难以为继。此外,在传统模式下,棚改建设的高成本、低效率、低水平等问题也日益突出,越来越受到公众的关注。如何破解如今所面临的难题,为棚改建设的发展选择一条合适的道路是目前的当务之急。 本文依据我国城市棚改建设的发展情况，提出PPP模式进行棚改建设，引入社会资本进行参与，利用PPP的科学机制，以及社会资本高效率的管理及其融资方面的优势，为解决棚改项目的建设，开辟一条新的道路。不仅如此,PPP模式还能够协助政府拓宽资金来源渠道、缓解政府现有财政的压力、化解现在过高的债务风险、进一步推动政府提高资金使用效率、转变职能、改善公共产品的供给方式,因此引入PPP模式来加快我国棚改建设是非常有必要的。 本文开始回顾了棚户区改造的基本概念及发展进程；项目融资的概念及种类；PPP模式的概念、特征以及运行机制等相关制度安排；之后引入案例—安居公司的PPP模式棚改建设，首先阐述了棚改建设项目各参与方即政府与社会资本选择PPP模式来实施此项目原因，其次分析了安居公司的公司治理机制情况，从股权结构、治理结构详细剖析了国有股东与私营企业股东的权责利安排，接着对安居公司PPP模式的项目运行机制进行了分析，发现在运行程序上、制度安排上项目还存在制度不完善等有待解决的问题，最后本文针对所发现的问题提出了加强安居公司能力建设等方面的措施和意见，希望为以后PPP模式棚改项目建设提供有益的借鉴。
英文摘要：	The squatter settlement rebuilding is a major livelihood projects and development projects. With the new session of central government proposed to accelerate to human as the core of the construction of new urbanization and transformation urban shanty towns and villages which lived 1 billion people , let more poor people's housing conditions to improve as soon as possible, governments at all levels will place shantytowns construction work in a very important position. But in recent years, the growth rate of fiscal revenue has started to slow down, the size of local government debt increased rapidly. The risk is rising. The old mode of relying on government to invest for the construction and operation is difficult to continue. In addition, in the traditional model, High cost, low efficiency, low level and other issues in the squatter settlement rebuilding have become increasingly prominent and catch more and more attention from the public. How to solve the problem and provide a suitable road for the squatter settlement rebuilding financing is a task of top priority. Based on the development of China's city construction and the squatter settlement rebuilding project, put forward the pattern of PPP model of project financing is the new way through involving the private capital to take part in the squatter settlement rebuilding, using the advantage of the scientific system of PPP model and efficient management and financing of private capital to solve the funding problem of building squatter settlement. In current situation, PPP model not only enlarge the channel of financing and release the fiscal pressure of government, but also help the government to change their role and improve the efficiency of using funding and effectiveness of providing public supply. So we suggest using the new path of PPP model to engage in squatter settlement rebuilding project. Firstly, this paper expounds the concept and development trend of squatter settlement rebuilding, the concept and main classification of project financing, and the concept、characters and running system etc. After that, On this basis, introduce the case - Project Financing PPP Mode of Squatter Settlement Development of AnJu Company, and after introduces the reason why the participated main bodies including government and private company choose the PPP model to implement the squatter settlement rebuilding project, then analyze the governance system of AnJu Company, represent the rights and responsibilities of shareholders based on the ownership structure and governance structure. And from the operating mechanism analysis, the paper finds out some problem such as the imperfect policies in running process and regulation setting. Finally, the paper puts forward some suggestions such as the improvement the developing capabilities of AnJu Company. And hope to provide the reference for the PPP model of squatter settlement rebuilding project of the future.
