中文摘要:根据上海赛迪集团的发展状况和发展过程中存在的问题,对赛迪集团的内外部环境分析和战略规划设计,结合母子公司管控目标和模式进行相关理论研究,提出了适用于上海赛迪集团的母子公司管控体系和模式。 研究的要点以及得出的主要结论为:建立母子公司管控体系是赛迪集团发展的现实需要;上海赛迪集团的核心战略思想可以确定为通过产权改革形成集团做大、母公司做强、子公司做活的集团经营格局,通过调整经营结构,形成工程承包为核心、房地产和贸易业务为辅助的三驾马车,通过合理市场布局,形成立足上海、面向全国的市场格局,成为国内有知名度的股份制企业集团;赛迪集团的法人治理结构设计为:母子公司建立股东大会(股东会)、董事会、监事会和经理层,按照现代企业制度的要求明晰股东大会、董事会、监事会和经理层的权力分配;母子公司管控制度的核心是派出人员制度和决策监督制度建设;上海赛迪集团母子公司管控模式设计为:对赛迪建设子公司采取运营管控模式,对赛笛房地产子公司采取运营偏战略管控模式,对赛迪贸易子公司采取战略管控模式;赛迪集团的组织结构设计需要突出核心业务,优化业务流程,提高运作效率,能够解决管理问题,规范基础管理,同时整合部门职能,加强沟通协调;赛迪投资控股公司的组织架构可以设计为集团的五大中心,战略、人力、财务、工程采购和营销五大职能中心,其中营销职能会随着集团发展和子公司成熟度的提升而调整。 本研究对于上海赛迪集团的可持续发展具有重要意义,母子公司管控制度能够为赛迪集团的核心竞争力构建提供制度基础和平台,实现未来的平稳有序健康和高速发展;本研究是我国民营企业集团化建设的探讨,对于完善民营企业集团的母子公司管控理论具有一定意义,同时可为广大民营企业的母子公司管控制度建设提供借鉴。  
英文摘要:Shanghai Saidi Group is the research object. I analyze the internal and external environment of Saidi Group and give the strategic planning, and propose suitable control systems and patterns which suitable for Saidi Group based on the parent-subsidiary corporation theory. The main conclusions of this thesis are: (1)establishing a parent-subsidiary corporation control system is the real the needs of Saidi Group; (2) the core strategy of Shanghai Saidi Group can be determined as the follows: forming the management structure of Group is bigger, parent company is stronger and subsidiary companies is invigorater, and by adjusting the business structure forming the troika which the core is project contracting, supporting by real estate and trading business, and from the reasonable market layout, forming well-known domestic joint-stock enterprise group based in Shanghai and expend to the whole country; (3) the corporate governance structure of Saidi Group is: in accordance with the requirements of modern enterprise system, parent and subsidiary companies establish shareholders meeting, board of directors and manager level, clear the distribution of power about shareholders meeting, board of directors and board of supervisors; the core of parent-subsidiary control system is sent staff and the decision monitoring system; (4) the parent-subsidiary control mode of Shanghai Saidi Group is designed as: taking operational control to Saidi Construction subsidiary company, and taking the operation but strategy control mode to Saidi Real Estate subsidiary company, and taking strategy control model to Saidi Trading subsidiary company; (5) the organizational structure design of Saidi Group needs to highlight the core business, optimize business processes, improve operational efficiency, to solve management problems, standardize based management, while integrating the functions of departments and enhancing communication and coordination; (6) there are five business centers of the organizational structure of Saidi Investment Holding company, which is human resources, finance, engineering, procurement and marketing. Marketing functions will be adjusted as the improvement of Group and the maturity of subsidiaries. It is important to the sustainable development of Shanghai Saidi Group. Parent-subsidiary corporation management control system can provide the institutional basis and platform to achieve the core competence of Saidi Group, and realizing a smooth and orderly healthy and high-speed development. This study is the discussion of group construction of private enterprise, and it has a certain sense to improving the parent-subsidiary control theory about private enterprise group, at the same time it is helpful to private enterprises for their parent-subsidiary corporation management control system reconstruction.
