中文摘要:当前,并购重组已成为各国企业扩大规模、获得规模经济效益的主要途径。大量的实证研究表明并购工作是实现企业重组增值的关键要素,人力资源整合又是重中之重。 本文以云南云天化国际化工股份有限公司(以下简称为“云天化国际”)为例,研究重组人力资源管理体系的构建,希望总结出适合国有企业实现人力资源管理转型和升级的思路与方法。全文共分六章。第一章,导论。主要介绍选题的依据、研究的主要目的意义、研究思路和主要内容;第二章,并购过程中人力资源管理研究理论。本章是全文的理论基础,主要研究企业并购、人力资源管理的理论;第三章,云天化国际人力资源管理体系分析。结合云天化国际的发展历程,分析云天化国际传统人事管理体系的弊端以及人力资源管理面临的新形势和新要求;第四章,云天化国际并购中人力资源管理体系构建。阐述和分析云天化国际并购中人力资源管理的构建基础和依据、主要内容;第五章,总结和分析实施过程所取得的成效和下一步改进的方向;第六章,研究结论。通过对云天化国际并购过程中人力资源管理体系的分析和研究,总结出从战略、文化、环境三个要素思考,结合企业实际采取分步、分层的实施策略,是我国企业特别是国企从传统人事管理向现代人力资源管理转型的有效途径。  
英文摘要:Currently, the merger has become the main way to expand the scale of foreign enterprises, access to economies of scale. A large number of empirical studies show that merger is a key element in achieving value-added corporate restructuring, integration of human resources is a top priority. The Yunnan Yuntianhua International Chemical Co., Ltd. (hereinafter referred to as "Yuntianhua international") as an example, to study the effects of recombinant human resources management system construction, hope summed up for state-owned enterprises to realize the transformation and upgrading human resources management ideas and methods. The full thesis is divided into six chapters. Chapter 1, introduction. The main topics of the basis, the main purpose of the study, research ideas and the main content; the second chapter, the merger of human resource management research. This chapter is the theoretical basis of the thesis, mainly studies the enterprise merger, human resources management theory; the third chapter, Yuntianhua international human resource management system analysis. Binding of Yuntianhua international development process, analysis of Yuntianhua international traditional personnel management system defects and human resources management is facing the new situation and new requirements; the fourth chapter, Yuntianhua international merger human resources management system construction. Description and analysis of Yuntianhua international merger construction of recombinant human resources management of the foundation and basis, the main content; the fifth chapter, summarize and analysis of the achievements and the next improvement direction; the sixth chapter, the conclusion of the study. Through of Yuntianhua international merger process of recombinant human resources management system analysis and research, summed up from the strategy, culture and environment are three elements of thinking, combined with the enterprise actual take step by step, hierarchical implementation strategy is China's enterprises, especially state-owned enterprises from traditional personnel management to modern human resources management transformation of the effective way.
