中文摘要: | 中文摘要 在经济全球化和地区经济一体化的背景下,随着市场经济的发展,可以说,全球产业进入了跨国并购的时代。企业在这个时代所面临的竞争压力之大,已不是之前时代所能比拟的。在当前时代中,企业要么去并购别人,发展壮大,获得生存;要么被别人并购,企业竞争失败,被时代淘汰。在跨国并购这股汹涌的浪潮中,企业在并购过程中的资源如何优化配置整合?当前企业并购中资源的优化整合存在那些问题?资源的优化整合是否有助于企业并购行为的开展? 本文在文献综述和理论分析的基础上,采取理论与实际相结合的方法,并结合本领域国内外的最新研究成果,以A公司跨国并购F集团中的战略资源整合问题为例进行研究分析。同时坚持比较的方法,详细比对了跨国公司并购过程中资源整合的模式及存在的问题,初步回答了上述的问题并为我国企业的国际化提供有价值的参考。 全文共分为六章。第一章主要论述本课题的研究背景、研究内容、本课题的研究意义和文章的结构及主要内容。第二章主要介绍本文所用到的有关企业国际化和战略资源整合的概念、理论概述。第三章主要论述企业跨国并购中的战略资源整合途径并对存在的问题进行分析。其中首先介绍了战略资源整合的意义;在第二节中详细分析了影响企业战略资源优化整合的关键因素;第三节中详细比对了资源整合的各种模式以及过程;第四节中针对企业跨国并购中资源优化整合过程中存在的问题进行了深入分析。第四章以国内企业A公司跨国并购欧洲著名体育服饰公司F集团为例,详细阐述了A公司跨国并购欧洲F集团过程中资源优化整合的过程并对其资源整合动因进行了深入的分析。第五章基于相关理论,总结上述A公司跨国并购欧洲F集团的资源优化整合运作的成功经验,并将其成功经验及带来的深刻启示进一步分析提炼,为中国企业的国际化发展战略和战略资源的优化整合提供了有价值的建议。第六章结论与展望。 关键词:战略资源;跨国公司;资源优化整合; | |
英文摘要: | Abstract In the economic globalization and regional economic integration, with the development of market economy, we can say, the global industry has entered the era of cross-border mergers and acquisitions. Enterprises in the era of the great pressure of competition, has not been able to compare the previous era. In the current era, the enterprise or to mergers and acquisitions, development and growth, access to survival; or companies have been mergers and acquisitions, corporate competition failed to be eliminated by the times. In cross-border mergers and acquisitions which shares surging wave of corporate resources in the M & A process on how to optimize the allocation of consolidation? Optimize the integration of mergers and acquisitions exist in current resources to those issues? Optimize the integration of resources, whether to help carry out mergers and acquisitions acts? Based on the literature review and theoretical analysis, to take a combination of theory and practical methods, combined with the latest research in this field at home and abroad, in order to cross-border M & F Group A company in the integration issue as an example of strategic resources research and analysis. While upholding the comparative method, detailed than the M & A process for the multinational resource integration patterns and problems, a preliminary answer to the above questions and provide valuable reference for the internationalization of Chinese enterprises. The full text is divided into five chapters. The first chapter mainly discusses the background, content, significance of the research, the structure and the main content of the article. The second chapter mainly introduces the concepts and theories of enterprise internationalization and strategic resource integration. The third chapter focuses on cross-border mergers and acquisitions in the corporate strategic resource integration approach and the problems were analyzed. Which first introduced the significance of strategic resource integration; in the second quarter in a detailed analysis of key factors influencing the integration of enterprise resource optimization strategy; Section III detailed than for the resource integration of the various modes and processes; section IV for cross-border mergers and acquisitions in the enterprise resource optimization problems of the integration process in-depth analysis. In the fourth chapter, we take the F group as an example to elaborate the process of resource optimization and integration of A company in the European F group in the domestic enterprises. The fifth chapter is based on the relevant theory, summarize the successful experience of the integration of the multinational merger and acquisition of F group in A, and further analyze the successful experience and the profound revelation, which provides valuable suggestions for the optimization of the international development strategy and strategic resources of Chinese enterprises.
