中文摘要：	2002年，党的十六大明确提出要深化国有企业改革，在十余年渐进式的改革推进过程之中，国有企业对国民经济做出了巨大的支撑作用。国有上市公司作为国有企业改革的先行者，在推动国有企业转型升级、竞争力提升等方面发挥了重要作用。但长期以来，处于市场化竞争中的国有上市公司却一直未能彻底改变其董事会行政化的决策流程。笔者试图从公司治理的角度出发对国有上市公司投资决策流程的优化进行探讨，以期有所突破。本文首先回顾了公司制企业的相关理论，从公司治理的理论起点－委托代理理论入手，对委托代理、公司治理、董事会行为等相关理论进行梳理、分析，探讨公司治理与董事会的决策行为之间的关系。再以相关理论作为基础，选取国有控股上市公司TD公司为案例进行分析，介绍了TD公司的基本情况及公司治理结构的现状，重点对董事会投资决策流程的现状、存在的问题及产生原因等方面进行分析，并从公司治理结构的改善及制度保障两个方面对TD公司投资决策流程的优化提出自己的建议和措施。本文的第一章介绍了研究背景及意义，提出了本篇文章的研究思路与方法；第二章介绍了相关理论与国内外相关文献；第三章主要介绍了TD公司的基本情况和现有的公司治理结构，并对现有治理结构下TD公司投资决策流程的现状进行全面系统的归纳与总结；第四章深入分析研究TD公司现有的投资决策流程存在的问题及生成的原因；第五章对现有的投资决策流程提出优化建议；最后在结束语中进行总结与展望。本文以国有控股上市公司TD公司为案例进行深入分析，通过对公司治理结构的改善以优化投资决策流程，相信会对企业的实际经营发展提供借鉴意义。
英文摘要：	2002, The Sixteenth National People's Congress clearly proposed to deepen the reform of state-owned enterprises, state owned enterprises have made a great support to the national economy in last 10 years. As the forerunner of the reform of state-owned enterprises, state owned listing Corporation plays an important role in promoting the transformation and upgrading of state-owned enterprises. But for a long time, the stiff decision-making process of the board of directors has not been changed . In order to break through, the author tries to discuss the optimization of the investment decision-making process from the perspective of corporate governance. This paper first reviews the relevant theories of the corporate system, and then analyses the relevant theories such as principal-agent, corporate governance, board of directors' behavior and so on in order to discuss the relationship between corporate governance and the decision-making behavior of the board of directors ,which starting from the theory of Corporate Governance: the principal-agent theory. Based on the relevant theories above, he selects TD company, the state-owned holding listing Corporation, as a case study, introduces the basic situation of TD company and the status of corporate governance structure, focusing on the board decision-making process, the existing problems and causes. Lastly, he suggests optimizing the investment decision making process from the improvement of corporate governance structure and system security. This paper first describes the background and significance of topics, puts forward the research ideas of this article; The second chapter introduces the related theories and documents of corporate governance; The third chapter mainly introduces the basic situation of TD company and the board of directors of the shareholders' committee, and the comprehensive system of induction and summary on the status ; The forth chapter analyzes the reasons and problems of the TD company's existing major issues in the decision-making process through the empirical and case analysis in-depth study; Chapter five Suggestions are put forward according to the existing model analysis to summarize; Finally in the conclusion to summary. In this paper, the relationship between corporate governance and investment decision-making process research, TD company as template in this paper, the effect of ownership structure to the actual, believe that will provide reference to the enterprise actual business development. In this paper, the state-owned holding listing Corporation TD company as a case for in-depth analysis, through the improvement of corporate governance structure to optimize the investment decision-making process, and believe that will provide reference to the enterprise actual business development.
