中文摘要：	丰田通商株式会社作为丰田系企业集团内部唯一的商社，在集团内部承担国际贸易、上下游产业链整合、金融和物流服务、情报搜集等其他经营活动。然而伴随2012年钓鱼岛问题的严峻化，日系汽车在华销售量萎靡不振，丰田在进入中国以来第一次出现业绩负增长，部分关联厂商甚至不得不采取裁员措施。另一方面，近些年来大众汽车强势增长，并于2015年在财富500强超越丰田汽车成为世界第一的汽车公司。作为丰田汽车嫡系的丰田通商，业绩也面临极大挑战，摆脱过于依赖汽车产业的业务布局已经刻不容缓。本文以丰田通商的公司治理结构和业务布局的关系作为切入点，阐述其企业集团背景、历史沿革、组织架构、主要财务数据、公司治理结构和业务布局现状，并和世界一流的综合商社三菱商事株式会社进行对比借鉴，最后从中找出不足，汲取经验，为丰田通商的综合商社发展道路提供方向和建议。本文的第一章介绍了选题的背景和意义，以及研究内容和方法；第二章主要做了日本式企业集团和企业系列、公司治理理论以及综合商社理论的相关回顾；第三章详细介绍了丰田通商、三菱商事两个综合商社的企业集团背景、历史沿革、组织架构、公司治理结构、业务布局、以及最近5年以来的主要财务数据；第四章针对两家公司的企业集团背景、公司治理结构、业务布局进行了横向的对比和剖析，进而为丰田通商的综合商社之路提供方向和建议；第五章讨论了本文的不足与展望，并进行了论文总结。
英文摘要：	As the only general trading company, Toyota Tsusho Corporation is undertaking international trade, integration of upstream and downstream industry chain, finance and logistics services, information gathering and other business activities. However, as the issue of Diaoyu Islands became rigorous in 2012, the sales volume of Japanese automobiles cracked in China, Toyota Motor appears a negative growth for the first time, some related manufacturers have to announce for job cuts. On the other hand, Volkswagen developed rapidly in recent years and exceeded Toyota as global No.1 automobile company in Fortune Global 500 in 2015. Toyota Tsusho, the direct line of descent of Toyota group, is facing great challenges on its achievement, too, which indicates an urgent requirement on reducing the deeply rely on industrial distribution of automobiles. This article starts from the relationship corporate governance and business layout of Toyota Tsusho, demonstrating its history development, organizational structure and current corporate governance. Making contrast with Mitsui and Mitsubishi, the two outstanding comprehensive enterprises in the world, henceforth Toyota Tsusho will find out insufficiency and adopt experiences for the development of itself, meanwhile, offer suggestion and direction for the same. Chapter 1 introduces the background and significance of the selected topic with research contents and methods; Chapter 2 mainly reviews correlation theories of corporation governance; Chapter 3 introduces three comprehensive trading companies--Toyota Tsusho, Mitsui and Mitsubishi and their history development, organization constitution, business layout, governance structure and achievements for recent five years. Chapter 4 makes an analysis and conclusion on the relationship of corporate governance and business layout of Toyota Tsusho based on the third chapter. Chapter 5 offers improving points and suggestions on the existing issues and summarizes on this essay.
