| 中文摘要: | 随着中国-苏丹两国合作的加强,两国之间的合资企业也越来越多,合资企业作为我国企业与世界跨国公司建立合作桥梁的一种方式,在国民经济中发挥了重要的作用,为中国经济快速发展作出了重要贡献。因此,合资企业的公司治理成为国内外企业家、管理者乃至一些权威学者关注的焦点,受到社会各界的广泛关注,逐渐走进人们的视野。笔者以我国一家与全球多个国家建立了合作关系、并在苏丹投资矿产和工程施工的华勘集团公司为例,结合在境外合资企业工作多年的实战经验,通过实地走访了不同区域的合资企业、并查阅了一些相关文献,运用文献研究法、案例分析研究法和归纳总结法等论文研究的科学方法,针对不同区域的合资企业公司治理作进一步研究。本文从第三章开始应用委托代理理论、利益相关者理论和资源基础理论等有关理论知识,分析中国-苏丹合资企业在公司治理方面的特殊性,如合资企业多层代理因素带来的代理风险和代理成本、境外公司面临的政策和法律环境、经济环境、及社会文化环境等外部因素;还有影响合资企业的如所有权结构、董事会、经理层及管理团队等内部因素,研究不同区域的合资企业公司治理情况,总结探索合资企业治理过程中的科学性及存在不足。本文第四、五章分别从公司治理结构与机制两方面的现状作深入分析,研究得出影响合资公司治理的原因并分别就治理结构与机制方面提出改进建议,介绍一些对中国-苏丹合资企业公司治理可以借鉴的创新方法,希望能给更多的中国境外合资企业在公司治理层面,对不同区域的合资企业公司治理,以及中国-苏丹合资企业的长远发展提供一些切实可行的成功经验和可供参考的借鉴价值。最后,通过对中国-苏丹合资企业公司治理的研究,我们启示发现合资企业公司治理既有一般公司的共性也有合资企业的自身特点,应从内外不同因素多角度分析,对中国-苏丹合资企业公司治理进行分析,寻找企业健康发展的交集,设计出适合境外企业且行之有效的公司治理结构与机制,为中国企业和私人投资者到非洲大陆特别是到苏丹这样欠发展中国家去进行投资提供参考建议,为华勘DAN桩基建设公司长远发展实现战略目标并解决实际问题。 | |
| 英文摘要: | As the cooperation between China - Sudan is more and more frequent, there are more and more Chinese and Sudan ventures become partners. Joint ventures have made vital contributions to the development of our national economy. Therefore, the joint venture of corporate governance has become the focus of domestic and foreign entrepreneurs, managers and even some of the authority of the scholars, the wide attention of the community gradually into people's vision. This paper has established a cooperative relationship with many countries including Sudan, combined with the actual experience of many years of foreign joint venture in. Through field survey, the paper analyzed many problems, explored the way of joint venture, and realized a new corporate governance mode, which is a new company. The joint venture is a new model of corporate governance. This paper takes the joint venture of Huakan Group Company in Sudan as the main research object, analyzes the problems in the aspects of shareholder meeting, board of directors, senior management, and the company's system construction and operation mechanism, and analyzes the scientific and existing problems in the process of corporate governance, and then analyzes the factors and puts forward suggestions for improving the governance structure of the joint venture company. The main purpose of this study is to research on the special nature of corporate governance, shareholder meeting, board of directors, senior management team, and management of joint venture Enterprise , between in China and Sudan, and to provide some practical experience and reference value for Chinese foreign joint venture. Finally, through the study of corporate governance of joint venture between China -Sudan, we find that the corporate governance of the joint venture, common characteristics of the joint venture should be a multi-perspective analysis of different factors both inside and outside, looking for a sustainable, steady and healthy development of the enterprise of intersection to design a suitable and effective corporate governance structure and mechanism. Study and sum up the new model of the joint venture company. It is to contribute to a small force for the Chinese enterprises and private investors succeeding in investing in Sudan, for Huakan-Dan piling company fulfilling its strategic target, and for exploring a path of development with Chinese characteristics. | |
