中文摘要：	近些年来，我国经济快速发展，这极大地拉动了对矿产资源的需求，也使得我国矿产资源的对外依赖程度大大提高。由此造成我国矿业企业在海外并购的态势大幅增长，而通过加拿大等成熟矿业资本市场直接投资、并购的企业也逐渐增多。尽职调查是矿业企业跨国并购活动中一项重要的基础工作。科学和有效的完成尽职调查工作不仅能够增加海外并购的成功率，还能够很大程度的解决海外并购中的信息不对称问题，以及规避并购交易活动中的风险。 天津HK集团是一家以地质矿业为支柱产业的企业，是天津矿产企业中对外投资和实施“走出去”战略的代表。2009年，为了开拓国际市场，增加企业矿业资源储备，天津HK集团收购了加拿大MT公司。在收购过程中，天津HK集团组织了尽职调查工作，研究天津HK集团在收购加拿大MT公司的尽职调查工作，分析和总结其尽职调查工作的得失，对于我国矿业企业在跨国并购中有效组织和实施尽职调查工作具有很现实的意义和帮助。 纵观全文，本文的贡献在于通过对跨国并购中尽职调查的概念和内容的介绍等以及对天津HK集团收购加拿大MT公司过程中尽职调查的分析，对我国矿业企业在跨国并购交易中实施尽职调查工作给出了较合理的建议，这些建议对实施尽职调查工作具有很好的参考价值。
英文摘要：	In recent years, China has enjoyed a rapid economic development, which significantly increased the demand of mineral resources together with the increase of dependency level of China mineral resource to foreign country. Therefore, Chinese mineral enterprises has come into a promptly increasing state of oversea mergers and acquisitions, among which, more and more Chinese companies merger oversea mineral companies through mature stock markets like Canada. Due diligence investigation is a fundamental work of mineral enterprises oversea mergers and acquisitions. Complete the due diligence investigation work scientifically and effectively will increase the success rate and solve the problem of information asymmetry as well as avoid the risk during the course of oversea mergers and acquisitions. Tianjin HK Group is a comprehensive company that majoring in mineral development business and it is the representative company that implements “Go Out police” strategy in city of Tianjin. In the year of 2009, in order to development international market and also to increase the mineral resource reservation, Tianjin HK Group merged Canadian MT Company. During the merger and acquisition, Tianjin HK Group carried out the due diligence investigation work. Study the due diligence investigation work that carried out by the Tianjin HK Group, analyses the reasonable and insufficient points will give the Chinese mineral companies real sense and help about how to correctly carry our due diligence investigation work during oversea mergers and acquisitions. Based on the paper, by analyzing the case of due diligence investigation work of Tianjin HK Group merged Canadian MT Company as well as introducing the concept and the content of “due diligence investigation”, the contribution of the paper is give reasonable suggestion on how to carry out due diligence investigation during oversea mergers and acquisitions, which I believe will endow the due diligence investigationwork real reference value.
