中文摘要:随着中国整体国力的提升和各领域相对国际竞争力的增强,2014年中国的ODI首次超过了FDI。在我国企业怀揣巨大希望和使命走出去的时候,跨国公司面临了更多的治理问题。在很多国企斥巨资收购海外公司之后,海外子公司的跨国治理问题成为国有企业面临的新的课题。如何在国有企业的治理结构下衍生出世界级的跨国企业的董事会结构,如何使董事会的决策更加趋近于现代公司治理的期望,如何建立母公司对海外子公司有效的治理机制,如何建立有效的海外子公司董事会,这些都是许多国有企业在刚刚进行海外布局之后还没有经验应对的问题。在海外子公司收购之初,母公司如何快速地获取子公司的经营情况和有效地将子公司纳入到母公司的治理结构中来。子公司原有的董事会在经过收购之初的改造之后,新晋的来自母公司管理层的董事怎样做好与原有董事会成员的合作,需要建立新的利益共同体。在磨合之后,如何将母公司董事会的利益与子公司董事会的利益很好地协调。之后如何进行对子公司管理层的管理边界的治理。作为中国公司海外经营的典型-中海油的跨国公司治理体现了我国企业进入国际顶级企业行业的决心与愿景,但是母公司原有的治理模式很难满足日益庞大的跨国治理体系的要求,通过优化母公司的治理模式和增强对跨国子公司的治理能力,才能保证母公司对海外子公司的良好的治理和构建良好的母子公司关系治理的体系。本文试图从跨国公司治理的理念入手,分析当代跨国公司治理的新的需求,以及我国国有跨国企业的公司治理面临的问题,以中海油的跨国公司治理为研究对象,结合加拿大子公司尼克森的治理案例,试图寻求我国国有企业跨国治理的改进的方案。目的是增强国有跨国企业在世界版图的扩张过程中通过增强母公司的治理能力以及对海外子公司的治理能力完成大型国有公司向跨国企业的升级的宏伟目标。  
英文摘要:China's ODI is stronger than FDI for the first time in 2014 while China's overall national strength has increased with the promotion of the relative international competitiveness in various fields. The enterprises face more problems on the corporate governance management problems when they go abroad with great hope and mission, especially when they have merged international companies with great capital. How to create world-class multinational companies with the board of directors structure under the governance structure of state-owned enterprise, how to make the decision of the board of directors tend to be more expectation of modern corporate governance, how to meet the interests of stakeholders, how to qualify the parent company in the management of overseas subsidiaries. How to set up an effective board of directors of the overseas subsidiaries, how to manage the effective management of overseas subsidiaries, these issues need to be resolved by many state-owned enterprises who have laid out in overseas with no experience in dealing with the problem. At the beginning of the overseas subsidiaries acquisition, how does the parent company quickly obtain the unit operating condition and effective the units into the parent company's overall governance structure? After acquisition at the beginning of the transformation, how does the new director from parent company management collaborate with the original members of the board of directors, how to establish a new community of interests. After running-in, how to coordinate the interests between the parent company's board of directors and the board of directors of the subsidiary. Then how to confine the boundaries of governance for the subsidiary. Based on CNOOC's multinational corporate governance as the research object, combined with Nixon's Canadian subsidiary management cases, trying to seek reform of the state-owned enterprises to optimize the overseas subsidiaries management solutions. The purpose is to enhance the state-owned multinational enterprises in the process during the expansion on the world map by enhancing the governance capability of the parent company and the overseas subsidiaries of governance ability, to qualify the corporate governance model of the parent company to the need of completed and greater multinational governance structure. And make the state owed company to complete the upgrade from large local state-owned companies to MNC.
