中文摘要:未来几年内,将是我国家族企业传承的高峰时期。这些家族企业大多创始于上世纪的八十年代到九十年代,而创始人则是改革开放以来第一批成功的创业者。 麦肯锡公司曾经对世界范围内的家族企业寿命做过一项调查表明:家族企业的平均寿命为24岁,其中70%的家族企业未能成功传承到第二代,87%的家族企业未能成功传递到第三代,而到了第四代及以后,仅有5%的家族企业仍然存活。 家族企业的代际传承问题实际上是该企业能否在创始人离开后继续延续其生命力的问题,在我国,代际传承失败导致企业衰败的案例比比皆是,“富不过三代”似乎是一个难以破解的魔咒。 本文通过对一个家族企业——HD集团代际传承问题的深入探讨和研究,根据其特点,分析了“子承父业”和“两权分离”这两种继任模式对HD集团可能产生的影响,为其提供代际传承的解决方案,同时也给我国家族企业的代际传承问题的解决提供了参考。 同时,本文还对国内外关于家族企业代际传承问题的研究做了总结和分析,并提出自己的观点。中国的家族企业在未来的权利传承过程中,可能会呈现出多样化的特点。既不像美国那样逐渐演进公众公司,也不像欧洲和日本那样成为家族企业的百年老店。 本文共有六个部分,各部分主要内容分别如下: 第一部分是绪论,主要介绍了本文的研究背景和意义、本文的思路及主要研究方法以及本文的结构。 第二部分是相关概念和理论基础,主要包括家族企业的概念、相关的理论与模型,包括“两权分离”与“委托代理”理论,家族企业的演进论与永续论,双系统理论与盖尔西克模型;胜任力的冰山模型和洋葱模型;代际传承的三阶段过程和七阶段过程。 第三部分是HD集团的案例部分,描述了HD集团的发展历程, 第四部分是HD集团在代际传承方面的问题分析,通过 “两权分离”和“子承父业”两种代际传承模式的分析,HD集团的诉求以及代际传承的阻碍,给出了关于企业未来传承的创新建议,帮助HD集团寻找到合适的代际传承模式。 第五部分给HD集团代际传承方式的建议,包括制定代际传承计划,对继任者的评价,以及对代际传承的时机的相关建议。 第六部分是结论和展望。针对代际传承的问题,指出本文的不足,并给出了文章的结论与展望。 
英文摘要:The peak of inter-generational succession in family firms will be reached in the coming years. Most these family firms are founded in the 1980s to 1990s. The owners of these firms are the first successful entrepreneurs with China’s Economic Reform and Opening-up. A worldwide research about lives of family firms was made by McKinsey, which showed that the average lives of family firms were 24 years. Among these, 70% of family firms failed in inter-generational succession from the first generation to the second one. And 87% of them failed from the second to the third. By the forth generation, only 5% of family firms still survived. For family firms, inter-generational succession concerns the sustained development after the founder left. However, in many cases, business failures are led by failed inter-generational succession, just as the old saying: clogs to clogs in three generations. In this article, HD group as a typical family firm will be researched and analyzed deeply. “Succession from father to son” and “Separation of ownership and management rights” are also analyzed further for HD Group in order to find a succession solution. Besides, it can be also looked as a reference for family firms in China. Also in this article, summary analysis about the inter-generation succession study both from domestic and abroad was made and a new insight was proposed. In USA, many family firms finally were evaluated into public firms while in Europe or Japan, family firms stayed intact and last for a century. This article consists of six chapters, each brief introduction of which is as follow: The first chapter is introduction, in which primarily targeted to the background and significance of this study, the main research ideas and the structure of this article, the study methods and the structure of this article. The second chapter described the related conceptions and basic theories, which includes the conception of family firm and some classic theories and models, including Separation of ownership and management rights theory contrasting Principal-agent theory, Evolution of family firm theory contrasting Sustentation of family firm theory, two systems theory contrasting Gersick Model, the iceberg model contrasting the onion model about competence, 3 stage contrasting 7 stage in inter-generation succession. The third chapter is the case chapter that introduce the development history of HD group. The fourth chapter described the issue analysis about inter-generation succession in HD group. By analysis of Separation of ownership and management rights succession and dynastic succession,the appeals from HD group and hinders of inter-generation succession, this article offer a creative solution to HD group to solve the inter-generation succession issue. The fifth chapter offer suggestions to HD group about inter-generation succession, including making succession plan, successor’s evaluation and the right time for inter-generation succession. The six chapter is Conclusion and Prospect, in which described the conclusion, shortage of this article, and prospect in future.
