中文摘要：	中国目前投融资两端分歧巨大，造成实体经济融资渠道闭塞，金融机构资金难以有效投放，地方政府与社会企业和资本急需较为恰当的投融资新途径与新的平台。在政府的支持与引导下，党中央国务院在公共服务领域推广政府和社会资本模式（PPP），李克强总理多次强调, 要向社会资本敞开大门,鼓励社会资本参与政府投资。为抓好落实工作，国务院出台关于在公共服务领域推广政府和社会资本合作模式的指导意见，《意见》明确财政部强化统筹协调。《意见》传递了强有力的政策信号、释放了改革红利，增强了社会资本信心，将更好的激发民间投资活力。2015年8月26日国务院常务会议提出要求加快棚改、铁路、水利等重大工程建设项目设立PPP引导资金，扩大有效投资需求。同时,相关部门进一步简化审批、引导社会资本进入基础设施建设,解决资金缺口大等问题。 本文采用理论与案例结合的研究方法，结合海外成熟的PPP经验，国内PPP发展现状与问题，金融交易结构等实际运作问题做了综合性的阐述。为金融机构与相关政府和社会企业提供借鉴。本文主要包括以下几方面内容：第一,梳理PPP的理论框架、发展阶段与国内外的发展现状，充分了解和认识PPP的概念与运用领域；第二，细化成熟市场PPP分类与成熟模式，借鉴他山之石，为国内PPP模式的应用与发展提供成熟市场的经验与发展方向，实现发展路径最优化；第三，PPP作为政府融资平台与城投债转型的融资模式，如何实现政府产业投资基金与PPP模式的有效结合，有望在很大程度上解决政府新建项目融资、存量项目债务置换和城投公司资产负债约束等问题；第四，论文著作者为金融机构从业人员，提出金融机构参与PPP的模式分析，希望从竞争形成竞合，结合社会相关产业龙头，引入社会民营资本与行业专业经营者，通过有效的金融产品结构实现PPP项目的风险隔离管理与持续公开的运作和管理，并具体对作者所在机构参与的政府投资基金与PPP项目进行项目分析。本文希望通过对PPP概念与体系的梳理、政府平台转型中与PPP的结合效用、金融机构在PPP中发挥的法律载体结构与作用等方面综合的体现PPP的理论与运用框架体系，供各地方政府、金融机构、公用事业单位、基础设施、建筑行业、工程机械、环保企业等相关企业借鉴。
英文摘要：	Nowadays there is big divergence between investment and financing in China, which leads to blocking in real economy financing channel and capital in financial institutions could not be effectively launched. Local government, social enterprise and capital are in urgent need of appropriate new channels and platforms for investment and financing. Under the support and leadership of government, State Council promotes government and public-private partnership (PPP) in public service fields. Premier Li Keqiang repeatedly pointed out to open the gate for social capital and encourage social capital to engage in government investment. In order to firmly fulfill the work, State Council unveiled the Guiding Opinions on Promoting Government and Public-Private Partnership in Public Service Fields. The Opinions specifies that overall planning and coordination is strengthened by Ministry of Finance. It also expresses strong policy signal, releases bonus of reform, strengthen the confidence of social capital and will stimulate more activeness of private investment. On August 26 2015, executive meeting of State Council advocated to speed up the establishment of PPP in major engineering projects including shantytowns transformation, railway and water conservancy to enlarge effective investing demand. Meanwhile, related departments are simplifying examination and approval, guiding social capital to enter infrastructural construction and resolve big financial deficit. This thesis adopts a researching method of theory combined with cases and made a comprehensive exposition according to practical operation problems such as oversea mature PPP experience, domestic PPP status and problem and financial trading structure. It provides reference for financial institutions and related government and social enterprise. The thesis mainly includes content as follows. 1. To fully understand and know the concept and utilization field of PPP by sorting out the theory framework, developing stage and developing status of PPP. 2. To provide mature market experience and developing direction for domestic PPP application and development by refining mature market PPP classification and model to optimize developing path. 3. As a financing model of government financing platform and urban construction investment bonds transformation, effective collaboration between government industrial fund and PPP mode will remarkably resolve problems as government new project financing, debt replacement of stock projects and assets liabilities constraints in urban construction investment companies. 4. As a financial institution practitioner, author of this thesis raises the analysis to the mode that financial institutions engage in PPP mode, wishing to realize the operation and management to PPP projects with risk isolation and continuous information disclosure through the combination with social industrial leaders, introduction to social private capital and industrial professional operator and effective financial products. This thesis aims to make a comprehensive exposition to PPP theory and application framework system by sorting out PPP concept and system, collaboration effect between government platform transformation and PPP and legal carrier structure and function that financial institutions play in PPP, in order to provide reference for local government, financial institutions, public utilities, infrastructure, construction, engineering and environmental protection enterprises.
