中文摘要：	摘 要 随着经济全球一体化的发展和当今世界经济环境的变化，各国的公司治理实践也相应地发生着深刻的变革。良好的公司治理能够创造财富,公司财富的增加促使国家的经济增长。目前众多的投资者、风险投资公司及基金等投资机构和公司的决策者们皆能达成一致的认识：如何提高内部经营绩效和增强公司竞争力，良好的公司治理在公司有着举足轻重的作用，更是保证现代的市场经济体系平稳运行的微观基础，尤其对保护公司所有者及其他利益相关者权益必不可少的条件。因此，现代国际社会对于如何建立有效的公司治理给予了更多的关注，目前在我国，建立现代企业发展制度的核心即是建立和健全公司治理的结构，公司治理的建立及完善既有助于解决国有企业在公司化改制过程中所出现、遇到的问题，而且也为民营企业、尤其是民营中小企业等各类企业规范化的公司治理改革提出了新的要求。 本文以建立和完善公司治理结构为主题，结合公司实际情况并提出具体建议与措施，并在北京天行健公司从股权结构、公司决策、公司董事会的建立和完善以及公司经营管理层的激励和约束机制等公司治理结构的设计进行了尝试和实践，促进北京天行健达信息技术有限公司建立现代企业制度：建立和完善公司治理结构，实现其稳定、可持续性地发展。?? 关键词：中小企业；天行健达； 公司治理 ；公司治理结构；治理机制
英文摘要：	ABSTRACT With the development of economic globalization and the change of economic environment in the world, the practice of corporate governance in various countries also has a profound transformation, Good corporate governance can create wealth, the increase in corporate wealth to promote economic growth in the country。 Many investors, Vc firm and fund and other investment institutions and the company's decision makers are able to reach a consensus: How to improve the internal management and enhance the competitiveness of the company, good corporate governance in the company has a pivotal role, but also to ensure the smooth running of the modern market economy system，Especially for the protection of the company's owner and other stakeholders essential conditions，At present, in our country, the core of the modern enterprise development system is to establish and improve the structure of corporate governance, the establishment and improvement of corporate governance is helpful to the problems encountered in the process of enterprise restructuring, but also for private enterprises, especially private small and medium enterprises and other enterprises standardized corporate governance reform put forward new requirements.
