| 中文摘要: | 企业并购是企业外部扩张的主要渠道。当前,企业并购的形式趋于多样化,规模化,尤其在通信设备行业,国内外掀起了一轮又一轮的并购热潮。通过并购和资本经营,通信设备制造企业实施经营性扩张,实现规模效应,已经成为跨国公司和中外企业家的共识,许多公司通过并购重组的方式实现了资源的优化配置,增强了自身的核心竞争力,在激烈的市场竞争环境中赢得了优势。但也有相当一部分企业完成并购交易后的结果未尽人意,最后以失败告终。企业并购的难点不在于能否实现形式上的并购,而在于并购的有效整合,整合本身多具有复杂性和综合性的特征,而且还存在多种多样的不确定因素与风险。因此,需要对并购整合中潜在的或已存在的风险加以识别,通过并购风险的应对策略来规避或降低并购的风险,从而提高企业并购的绩效,最终达到预期的协同效应。论文首先对企业并购后整合的基本理论进行了阐述,其中包括了企业并购的概念和并购整合理论,企业并购的风险管理以及风险管理的实践过程的相关内容。其次,论文对青岛朗讯公司在被并购期间的内外部环境进行了分析,指出了产业环境、行业竞争、运营商转型等外部环境各层面对公司并购价值创造的推动作用;从内部环境角度,阐述了青岛朗讯公司被并购后,整合的历程以及并购后整合状态。随后,论文对青岛朗讯公司并购后整合风险涉及到的战略整合、组织整合、人力资源及文化整合等几个重要的方面作了详细的论述。最后,论文针对青岛朗讯并购整合后的风险提出了相应的风险应对原则,流程与应对策略,为公司在并购整合实施的下一阶段提供一些借鉴。 | |
