中文摘要:本文从公司治理理论出发,通过梳理股权激励的相关理论发展及国内外研究,阐释股权激励的主要形式及其适用性。通过对工程咨询行业的国有中小企业实施股权激励的现状分析,理清其激励模式和影响激励效果的主要因素。以河北锐驰交通工程咨询有限公司为主要研究对象,从公司治理结构设计、人力资源管理、薪酬体系设计等方面分析其治理和管理现状,重点剖析其在激励层面的问题;通过职工问卷调查、中高层管理者问卷调查和与董监事会座谈等多种形式,获取所需的数据资料,以探讨公司实施股权激励的必要性和可行性。基于股权激励的相关理论,本文试图设计出适合于公司实际的虚拟股权期权激励方案,尝试构建国有体制下有效的激励机制,实现对管理层的有效激励,以期达到激发其创新潜能、提高其效能,实现留住关键人员和发挥其潜能,并为公司实现突破和创新的研究目标。本文的研究反映出国有中小企业在管理层激励方面的现实问题,并针对工程咨询行业中小型国有制企业在当前政治和经济环境下实现长效激励问题提供了具有一定理论和实践价值的解决方案。本文所作的工作一定程度上丰富了股权激励理论尤其是国有企业的股权激励理论,并对国有企业股权激励实践有着一定程度的借鉴意义。 
英文摘要:From the corporate governance theory, the theory of development and domestic and foreign research combing through equity incentives, the main form of interpretation and applicability of equity incentive. Through the engineering consulting industry status quo of state-owned SMEs in the implementation of equity incentive analysis, clarify the main factors affecting its excitation mode and incentive effects. Hebei Reach Traffic Engineering Consulting Co., Ltd. as the main object of study, from corporate governance structure design, human resource management, compensation system design and other aspects of its governance and management situation analysis, focusing on analysis of their problems in incentive levels; through employee surveys, senior managers in the survey and discussions with the Board of Supervisors and other means to obtain the necessary data in order to explore the necessity and feasibility of the company's equity incentive. Based on the theory of equity incentive, this paper attempts to design suitable to the company's actual virtual stock options incentive plan, trying to build an effective incentive mechanism under the state-owned system to achieve effective incentive for management in order to achieve stimulate its innovative potential, increase its effectiveness realize retain key personnel and its potential, and for the company to achieve a breakthrough and innovative research goals. This study reflects the state-owned SMEs in the practical problems of management incentives, and for the engineering consulting industry, small and medium state-owned enterprises to achieve a long-term incentive problems in the current political and economic environment provides solutions to some theoretical and practical value . Enriching the work to a certain extent made herein on equity incentive theory, especially state-owned enterprises equity incentive theory and practice equity incentive state-owned enterprises have a certain degree of reference.
