中文摘要:随着国有企业改革的逐步加深,中国所有制结构的演变及混合所有制的产生与发展,引入战略投资者已经成为了国有企业向混合所有制改革的一项重要途径。但在实际操作中,由于没有对战略投资者进行严格的筛选和限定,没有对战略投资者引进过程中及引进后可能遇到的各方面的风险进行充分的认知及控制,往往导致企业经营管理权易手,国有资产流失,甚至影响企业正常的生产经营活动,最终导致战略投资者引进工作流产或失败。 本文在深入理解战略投资者理论及公司治理理论的基础上,结合混合所有制经济在国企改革中的重要方向性及目标性作用,通过回顾国有企业战略投资者引进的历史进程,明确战略投资者引进的必要性,进而对于引进过程当中可能遇到及产生的风险加以分析,衍生出相应的控制要点及解决措施。 本文共分成六个部分,第一部分主要阐明了研究目的和意义,界定了战略投资者、混合所有制的概念界限,并简要介绍了前人的相关研究。第二部分介绍了国有企业混合所有制改革中引入战略投资者的历史进程及国内现状,分析了国有企业引入战略投资者的积极意义。第三部分分析了混合所有制改革中国有企业引入战略投资者存在的风险。第四部分针对第三部分分析的相关风险提出相应的政策建议。第五部分以SG公司为例,通过介绍公司的历史延革、经营管理现状及三次混合所有制改革引入战略投资者的经历,印证了战略投资者实效性的相关研究,同时针对具体情况分析了引入战略投资者存在的主要风险,提出了未来可借鉴的方面,并为后续企业引入战略投资者提出相关建议,也从案例角度最终印证了国有企业混合所有制改革中引入战略投资者的风险分析及控制理论。论文最后对于本文研究的结论进行了系统总结与阐述。 通过本文的理论研究及案例分析,得出主要结论如下,第一,对于国有企业混合所有制改革中引进战略投资者的风险,必须系统性的加以控制:第二,行政干预的继续存在,需加以重点关注。  
英文摘要:With the gradual deepening of state - owned enterprises reform, the introduction of strategic investors has become an important way to reform to mixed ownership for State-owned enterprises, in the condition of the evolution of ownership structure and the emergence and development of mixed ownership in China. But in reality, it is a lack of strict filtering and restricting the qualification of the strategic investors with no cognition and control on the aspects of the risk during and after the process of introducing strategic investors, which changes the management and administrative rights of the enterprises and makes a loss of state-owned assets, even resulting to influence the normal production and operation activities of enterprises, eventually leading the failure of introducing strategic investors. Based on deeply understanding the theories of strategic investors and corporate governance, this article reviewed the historical process of the introduction of strategic investors of state-owned enterprises, combined with the directivity and objective of mixed ownership economy in the state enterprises reform. It cleared the necessity of the introduction of strategic investors, and analyzed the risks during the process of the introduction, with the conclusion of controlling key points and solving measures. It divided into six parts. The first part mainly explained the purpose and the meaning of the research, with defining the boundaries of strategic investors and briefly introducing the relevant previous studies. The second part illustrated the historical process and current situation of the introduction of strategic investors, and analyzed the positive significance of the introduction of strategic investors. The third part analyzed the risks of the introduction of strategic investors. The forth part put forward the corresponding countermeasures associating with the risks. The fifth part analyzed the SG company as the example, by introducing its history, present situation of management and the experiences of three-times introduction of strategic investors. It testified relevant researches of the necessity of strategic investors and analyzed the main risks of the introduction of strategic investors according to the specified situation. It put forward the referential experiences and relevant proposals for other enterprises, finally confirming the risks analysis and control theory of the introduction of strategic investors for state-owned enterprises from the perspective of case study. Through theoretical research and case analysis, we can conclude as following: First, it must be systematically controlled the risk of introducing the strategic investors in the Mixed Ownership System Reform for State-Owned Enterprises. Second, it must focus on the continued existence of administrative intervention.
