| 中文摘要: | 当前中国经济已经融入了全球经济的发展浪潮,并且在全球经济一体化的趋势下,逐渐显示出了特有的竞争优势。在经历了37年的经济改革,中国企业逐步从弱到强,从小到大,从封闭走向开放,完成了以投资拉动、成本优势、外贸驱动而形成的经济发展模式,最重要的是随着资本积累的逐步完成,原有粗放式的发展模式的终结,中国企业进入了新一轮的产业整合。在这样的背景下研究中国企业在产业扩张的过程中,如何有效的进行国内、国际的企业并购、产业重组、价值链再造、资源整合等具有战略性的运营操作具有十分重要的现实意义。自2008年爆发的全球性经融危机以来,中国企业面临着前所未有的考验,目前的中国经济也进入了深层次的调整期,随着众多企业的倒闭、破产,我们也看到了一批优秀的企业进入了转型、转性、转轨的发展阶段。在绝大多数产业都已经出现产能过剩的现实中,如何通过技术创新、产业结构调整、整合和提升价值链等方式获得持续的竞争力?成为当前企业家的首要问题。中国企业大多着眼于企业的产品经营,国内市场的开发与研究,管理的重心也多基于引入国外的管理理念和模式、方法,对于在全球化的环境中如何整合资源,建立核心竞争力,推行具有国际化企业运作的企业管理对于资本化的企业如何提升价值涉猎较少。本文以案例研究为特点,通过理论与实际相结合的研究方法,为企业在转型升级的过程中,如何通过并购重组、管理整合等资本运作手段来实现公司战略,打造核心竞争力。中国企业从成功到成熟,从稚嫩到老练,从国内到国际,最终必将在世界的经济格局中获得重要的地位和角色。图18幅,表6个,参考文献33篇。 | |
| 英文摘要: | At present, China’s economy has entered the development trend of economic globalization and gradually displayed its unique competitive advantage under the global economic integration. After economic reform of 37 years, Chinese companies have gradually grown from weak to strong, small to large and closed to open, completing an economic development model with capital, cost advantages and foreign trade combined. The most important achievement is the gradual capital accumulation which ended extensive development model, allowing Chinese company to enter a new round of industrial integration. Under this kind of background, making a research on how to effectively conduct internal and international merger, industrial reorganization, value chain reconstruction and other strategic operations during the process of industrial expanding of Chinese company has a very important practical significance. Since the outbreak of global financial crisis in 2008, Chinese company faced unprecedented challenges. At present, Chinese economy has entered in-depth phase of adjustment. After many companies have been bankrupt and closed, we see a batch of excellent companies enter development phase of transformation, trans-track and trans-identity. In the reality that most industries have excess production capacity, how to obtain sustained competitiveness thorough technological innovation, industrial restructuring and integration, value chain enhancement is the top priority for current entrepreneurs. Most Chinese companies focus on product management, R&D in domestic market. Focus of management is also based on introducing foreign management philosophy, model and methods. However, for how to integrate resources under the background of globalization, build core competitiveness and carry out internationalized business administration and its effects on improving value of capitalized company, there are not many researches. At last, this paper was featured with case study, through theoretical and practical research methods, analyzed how to achieve sustainable development of company by merger and reorganization during the process of Chinese company’s transformation and upgrading and build core competitiveness. Chinese company will grow from successful to mature, immature to sophisticated, internal to international and finally obtain important role and status in the global economic pattern. 18 pictures, 6tables, 33 references | |
