中文摘要: | 商业银行作为金融行业的主体对我国整体经济的稳定发展起着举足轻重的作用。在如今经济全球化、利率市场化不断加深的背景下,商业银行的发展面临着巨大的压力与挑战,为了能够获得更大的市场份额,强化自身的核心竞争优势,并在激烈的竞争环境中占得先机,商业银行纷纷开始开展创新业务。与此同时,学者们对于商业银行的治理与创新研究也逐渐升温。商业银行自身的特殊性决定了普通企业的创新方法不能简单的套用在商业银行上,相对于普通的企业,商业银行的创新活动将会面临更大的风险并会受到更严格的监管,如何在高效准确的防控风险的前提下开展创新活动是银行从业人员和理论界关注的焦点,因此将商业银行作为一个独立的样本进行研究就是十分必要的了。 在对以往学者关于商业银行治理的研究文献进行梳理和总结后不难发现,现有研究大多是基于委托代理理论视角考察董事会规模、独立董事比例、高管激励机制等因素与银行创新能力之间的关系,从断层视角展开论述的相关研究还比较鲜见。董事会作为商业银行的决策机构,其成员的多重特征必然会对整个决策过程产生影响,进而提升或降低银行的创新产出。因此,研究将董事会断层作为研究的切入点,探讨由董事类型、任职时间和受教育程度所构成的董事会断层对银行创新水平的影响。研究选取了我国上市的16家商业银行2010-2013年的相关数据制成面板数据,实证研究我国上市商业银行董事会断层对其创新水平的影响。 实证结果表明,银行董事会断层对其创新水平有显著的负面影响;繁忙的董事会会加剧断层对于创新水平的的负面影响;而行长的任期会改善这种不利影响。研究的实证结果丰富了相关领域的研究文献,加深了人们对此作用机制的认知,并强调了领导权扮演的角色在董事会建设中的重要作用,能够为我国银行业提高创新水平提供些许借鉴。 | |
英文摘要: | As the main body of the financial industry,commercial banks are playing a vital role in the stable development of China's economy.With the development of globalization and interest rate liberalization,commercial banks are facing enormous challenges and pressures.In order to gain strong competitive advantages,commercial banks begin to expand the innovative business to pursuit a bigger market share.At the same time,the quantity of the researches about the governance and innovation of commercial banks is increasing very quickly.Compared with the general corporate, commercial banks have some particularities which decide that some theoretical researches for ordinary enterprises are not applicable to commercial banks directly. And how to expand the innovative business under the premise of Risk Management is focus for the bank employees.Then, it is very important to do some professional researches using commercial banks as a separate group. After summarizing the literature about the governance of commercial banks,it's easy for us to find that many of the existing researches are based on the theory of Principal and Agent,and mostly people discuss the innovation of commercial banks from the governance mechanism of the board,such as the board size,the proportion of independent directors,and the mechanism of incentives for executives and so on.But it's very rare to study the question from the perspective of faultlines.As a decision-making body of the commercial banks,the multiple characteristics of directors inevitably have a major impact on the decision-making process,which promote or reduce the performance of innovative business.Therefore,this research will choose the faultlines of commercial banks' board as the starting point and try to find the relationship between the innovation and faultlines which is consist of the type of directors,tenure and education level.Some related data of the sixteen listed commercial banks during 2010 and 2013 have been selected to make a panel data to test the influence of board faultlines to bank innovative activities. Through the empirical research,we can find that the board faultlines has a significant negative impact on innovative business.Moreover,busy directors could intensify the negative effect,but the tenure of president could alleviate the adverse effect. The empirical result of this research could enrich the relevant literature and deepen the understand of the functional mechanism.Besides,it has emphasized the role of leadership in the construction process of the board,and I hope it can provide some reference to improve innovative ability for our commercial banks. | |
