中文摘要:国有企业的民营化改制是混合所有制企业的重要实现形式之一。在国有企业进行民营化改制的过程中,由于与改制过程相关的各个利益主体,包括政府官员,原国有企业经营层,国有企业员工与民营企业一方各自持有不同的诉求,改制过程呈现出了种种矛盾。本文选取了2003年复星集团及其关联公司收购江苏南京钢铁股份有限公司和2005年建龙集团收购通化钢铁股份有限公司的两家地方性国有企业的民营化案例。通过对两个案例的考察,本文总结了在两家国有企业民营化的过程中,民营企业家所采取的不同性质的整合策略,这些策略主要反映在企业控制权配置、激励机制、成本管理和人员管理等方面,不同的策略又导致了两家企业民营化的不同结果。本文认为,在内含竞争逻辑的混合型组织中,组织成员形成了具有差异化特征的身份、目标和行为,这些差异导致个体间产生了不同程度的冲突。 在国有企业民营化的具体情境中,个体之间的冲突具体表现为利益冲突,如国有企业管理者与民营企业家之间对企业控制权归属的争议,国有企业员工对稳定的工作和薪酬福利的追求与民营企业家实施的以绩效为导向的激励机制的冲突等。民营企业家妥协和操纵的整合行为对利益冲突的化解产生了不同的效果。总的来说,在民营化后,国有企业转变为混合型组织,组织中存在国有逻辑和效率逻辑两种相互竞争的制度逻辑。在竞争逻辑的影响下,国有企业管理者、国有企业员工和民营企业家形成了具有差异特征的身份、目标和行为,进而引发了不同个体之间的冲突。在混合型组织中,妥协策略有助于缓解不同组织成员之间的冲突,进而实现竞争逻辑在组织中的共存;操纵策略强调确立单一逻辑在组织中的主导地位,会激化不同组织成员之间的冲突。缓解不同组织成员之间的冲突有助于加强组织成员对组织身份的认同,进而使混合型组织在竞争逻辑的影响下维持稳定。 
英文摘要:Mixed ownership is one of the most important realization form of mixed ownership enterprises. In the process of privatization reform in state-owned enterprises, different characteristics of government officials, the original state-owned enterprises leaders and managers, the ordinary staff and the private enterprise party on the cognition of social identity,goal and action result in individual conflicts. We select two cases including the privatization of Tonghua Iron and Steel Co.Ltd in 2005 and the privatization of Nanjing Iron and Steel Co.Ltd in2003.We summarize two categories of strategies carried out by private entrepreneurs,including the distribution of control power,incentive mechanism,cost management and resource management,which result in different outcome of the privatization of two stated-owned enterprises. We argue that in the hybrid organization full of competitive institutional logics, individuals have different social identity, goal and behaviors. These difference lead to different degrees of conflicts among individuals. In the specific situation of the privatization of state-owned enterprise,individual conflict embodied in interest conflict,including the race of control power between the original state-owned enterprises leaders and private entrepreneurs, the conflict of demand of stable job opportunity and the performance-oriented employment policies. The integral approaches of compromise and manipulation have different effect on the privatization of state-owned enterprise. In a word,in the process of the privatization of state-owned enterprise,state-owned enterprise is transformed into hybrid organization full of competitive institutional logics. Influenced by competitive logics,state-owned enterprises leader and manager,ordinary staff and private entrepreneur have different characteristics of identity,goal and behaviors,which contribute to the conflicts among different individuals. In the hybrid organization,compromise strategy would help relieve the conflicts among different individuals,which lead to the situation of competitive logics coexisting. Manipulation would intensify the conflicts among different individuals,which strengthens the core importance of single institution logic. Alleviating the conflicts in the organization could help the members got organization identification,which contribute to the stability of hybrid organization.
