中文摘要：	吉林云天化是由私企和国企于08年合资而成，混合经营体制是目前比较新的一种体制，私企的灵活多变与国企的呆板稳定形成了鲜明的对比。以吉林云天化为例，在农业大省中，吉林云天化迅速发展不但体现出环境的需求，也体现出了企业的竞争优势，就在混合经营体制下，力求做大做强给吉林云天化带来了短暂的光环，然后投资过大的规模，在之后对吉林云天化的发展背上了沉重包袱，短借长用，高额资产负债率，频频出现的合同纠纷都显现出混合经营体制的风险认识与对市场环境、人员道德风险等的认识不足。本文作者参与并见证了公司发展过程，在实践中对公司内部控制有较深的体验，并希望通过改进内部控制管理制度、绩效评价，总结出提升吉林云天化的发展。 文章评估了吉林云天化常用的内控管理体系对公司风险控制的适宜性后，提出了对内控管理制度改进的意见，并在此意见基础上，提出了实施方案。全文抓住决定吉林云天化公司如何加强、完善内部控制这一主题，揭示了公司管理制度的漏洞，通过有效实内空制度，以保障公司目标的实现，使企业的价值增加。 或许在吉林云天化诠释的混合体制内部控制含义并不完全，但适应于公司需求，从不同的角度定义内部控制会有不同的理解，分开内部和控制这两个词，就可以看出，内部控制是有针对特定群体，组织、企业或公司以内的目标实施监管、限制和指引的一种机制。为了实现控制，就得先确定目标，没有目标，控制也就失去了意义。管理层是从企业的广泛角度来看待的，它的职责就是制定企业目标和战略，指引和调动企业的员工和资源来实现这些目标。吉林云天化是个发展中的企业，员工和管理层对这个企业充满着激情，对企业的未来更是和自己的未来紧紧的相扣。通过论文分析，得出了三条提升吉林云天化内部控制管理，分别是高管重视；目标明确；规范业务。 本研究通过对吉林云天化实施混合经营体制过程梳理，以吉林云天化为例，求证混合经营体制下企业发展过程中的内部控制作用。总结其经验和教训，以对其他混合经营体制的企业有借鉴意义。
英文摘要：	JilinYuntianhua was setup on 2008,invested by a private enterprise and a State-owned enterprises, so called ”Mixed operation system”(Referred to as "MOS”). MOS is a young and Flexible system than other system .For example ,the rapid development of Jilin Yuntianhua ,showed the special competitive advantage than other company due to the unique system . But under the same system , the company also encountered difficulties such as high Asset-liability ratio, frequent contract disputes and so on. The author witnessed the process of the development of Jilin Yuntianhua , aimed to promote the development of the company by carry out internal management and the performance evaluation . The paper assessed the internal risk prevention and control system, Give Suggestions, ideas and Implementation plan. The author focus on how to strengthen internal control, to make sure the company can meet the business objectives and enhance the business value . Internal control system focus on internal supervision and restriction. In order to achieve the goal , the company must have a clear goal .Without the goal ,all control system is meaningless. In Jilin Yuntianhua , the management summarize 3 points to improve internal management :the executives pay high attention ,clear objectives and standardlize the business process. By the paper ,the author hope to sum up the experience and lessons to help other company with Mixed operation system.
