中文摘要:伴随着资本全球化和社会经济的不断发展,企业通过资本市场进行融资是其提升持续竞争力的重要手段,这就要求企业需要与投资者搭建并长期维持相互信任的关系,并且科学管理这种关系。投资者关系管理是公司的战略管理职责,它运用金融学、沟通学以及市场营销学的方法管理公司、投资者以及金融机构之间的信息交流,以实现公司价值的最大化。国外发达证券市场对于投资者关系管理的研究起步较早,已经形成了较为完备的理论体系并有了相关实践。国内投资者关系管理发展时间虽然较短,但随着我国资本市场改革的不断深化,投资主体呈现多元化国际化的趋势,为国内企业投资者关系管理的朝西方成熟市场方向快速发展提供了良好的机遇,同时,投资性资本的竞争不断加剧,也为国内企业做好投资者关系管理工作提出了前所未有的课题。天士力制药集团股份有限公司(下文简称“天士力”)作为以现代化国际化为战略方向的沪市A股上市公司,近年来得到投资者尤其是海外机构较高的关注,以其为研究对象,基于综合视角对公司投资者关系管理工作进行系统梳理和优化,有利于探索国际和国内相结合的理论体系和资本市场发展新阶段下国内企业投资者关系管理的实践方案。本文通过对投资者关系管理理论、西方成熟国家发展经验介绍,结合国内投资者关系管理发展历程和问题,展开对天士力投资者关系管理工作的探讨和分析。通过研究其工作中的问题,提出天士力投资者关系管理优化方案,并对方案实施应用评价进行了分析,最后提出了方案的保障因素。优化后的投资者关系管理系统,可实现信息的双向传递以及模块化分类管理,为量化管理投资者关系工作提供了条件,有利于天士力树立“股权至上”文化理念,提升公司治理能力,营造公司价值和投资者价值双赢的局面,将为公司实施现代化国际化战略赢得长久的资本支持。 
英文摘要:Along with continuous development of capital globalization and social economic, the main means of enhancing the sustainable competitiveness of enterprise is that it direct financing through capital market. It requests that enterprise have to establish the trustable relationship with the investors. And this relationship needs to be managed scientifically. Investor Relationship Management means that a company, in manner of using theories of finance, media and market etc. manages its information and strategic management activities operated by related interest entities for spreading that information so as to seek the benefits in the maximum value. The foreign developed capital market started earlier in terms of the management of the relationship with investors. The mature theory has been created and practiced. However the domestic management of this relation with investors just starts short time. The investor has the trend of diversification and internationalization along with continuous deepening the reformation of China capital market. It provides the good opportunity for rapid development of relationship of domestic investor toward the direction of mature western market. Meanwhile, the reformation supply market increases the investment capital competition, which also brings the new challenge for domestic enterprises to manage the good relationship with investor. Tasly Pharmaceutical Group Co., Ltd. (hereinafter referred to as "Tasly") as private holding A-share companies which has strategic direction of modernization and internationalization. In recent couple of years, Tasly gains the high attention of investors, especially of foreign organizations. By studying the Tasly, based on a comprehensive perspective, they systematically combine and research in terms of the management of relationship with enterprise investor, which bring the benefit for exploring the domestic corporate investor relationship management practices in the new phase of combination of international and domestic theoretical system and capital market development. This article analyze and reserach the Tasly’s investor relationship management through the investor relationship management theory, the development experiences of mature Western nation, combined with domestic investor relationship management development history and issues. By studying the issues in the Tasly investor relationship management, this article provides the optimization of investor relationship management, builds up the model system, analyzes and evaluates the implementation of case. By utilization of investor relationship management system, It can realize two-way transmission of information and modular classification management. It also can provide conditions for quantitative management of Investor Relationship Management. It brings the benefit for Tasly to establish the culture of “equity-oriented”, enhance the company’s management level, adds company value, maintains the good relationship with investor, and creates the win-win situation for value of company and value of invertor, provides the long term capital support for achieving the modernization and internationalization of company strategy.
