| 中文摘要: | 目前许多大型跨国企业通过他们自身的技术、强大的资本以及品牌优势进入企业并购的大潮,实现企业全球化的战略发展和合作。但是并购也具有极大的风险,有些并购没有取到预期的效果。归结原因主要问题是整合,整合的成功与否是企业并购成功与否的关键因素。其中关键因素之一就是人力资源的整合,是企业并购整合首先要完成的一部分,是决定企业并购成败的关键因素。 本文正是基于美国DP公司并购国内RS公司企业并购案例,阐述和分析了对RS公司的人力资源尽职调查,从而发现现有的人力资源各个模块中的问题和潜在风险。如果这些问题和潜在风险没有得到适当的改善和解决,势必会对并购后的企业发展和运营带来影响。因此,本文根据人力资源管理理论以及人力资源整合理论对并购RS公司人力资源整合方面存在的问题和风险进行分析,参考相关企业并购和人力资源整合的相关书籍和文献进行研究,再借助DP公司在人力资源上的先进管理经验和实践经验进行对比,稳步的推进并购RS公司的人力资源整合,优化公司组织架构,梳理人力资源各大模块,塑造企业员工的共同意识和价值观,加强企业生产竞争力和员工的凝聚力。本文同时分析了在整合RS公司人力资源过程中出现的一些问题,如员工的心理契约、冗余员工的安置和有效的沟通。如果企业不能合理妥善的处理和安置,不但不能保证人力资源整合的顺利进行,而且还会带来许多负面问题,最后对企业和员工造成极大影响。 本文第一部分明确了本文研究的现实意义,提出了总体思路和研究方法。在明确研究思路和方法之后,本文的第二部分重点介绍了并购和整合的理论,以及人力资源整合的研究综述。本文的第三部分阐述了DP公司和RS公司的背景以及并购的契机,并分析了DP公司并购RS公司的人力资源尽职调查以及在尽职调查中发现的问题。根据人力资源尽职调查,本文的第四部分阐述了DP公司并购RS公司的人力资源整合的内容。本文最后阐述了影响人力资源整合的问题分析以及对策应对,为今后企业并购中的人力资源整合提供经验参考。 | |
| 英文摘要: | At present, with the advantage of their own technology, strong capital and famous brand, many large multinational enterprises entered the field of M&A to achieve the strategic development and cooperation of enterprise globalization. However there will be the potential risk in the process of the M&A, and thus some M&A did not success. The main reason is related to the integration aspects, and the success of integration is a key factor in the success of the merger and acquisition. One of the key factors is the integration of human resources, which is the first step in the integration and is the key element for the success of the enterprise merger and acquisition. This article was based on the case of Company DP mergers acquiring Company RS, and analyzed the human resource due diligence of Company RS, and then discovered the existing problems and potential risks in the related modules of human resources in Campany RS. If these problems and potential risks are not be improved and solved properly, there ought to be having some bad influence to the integration and enterprise development. Therefore, based on the theory of human resource management and human resources integration, this article analyzed the existing problems and potential risks in the process of human resource integration of DP acquring RS. Refering to the books and articles related to the enterprise mergers and acquisitions and human resources integration, this article did researches on the integration of DP acquiring RS and absorbed some advanced experience from DP’s human resource management and practical experience, in order to pushing the human resource integration steadily, optimize the company organization structure and HR modules, strenghthen the company’s competitive and employee’s cohension. This artical also analyzed some specific problems in the process of human resources integration, such as psychological contract of employees, the processing of redundant staff and effective communication. If these problems can’t be properly optimized and solved, it not only can’t ensure the smooth progress of the human resource integration, but also brings many negative issues, finally made a great impact to the enterprise and employees. In the first part of this article we defined the realistic signification of this research, put forward the guideline and research ways of whole article. After that, we introduced and emphasized the theory of M&A and Human Resources in the second part.In the third part we introduced the background of the enterprise of PD and RS, analyzed the chance of coorporation, and described the due deligence of human resources as well as problems in the process in details. Based on HR due diligence, we introduced the contents of human resources integration and have the problems be solved as well in the fourth part.In the last of the paper, we analyzed some improtant questions related to the human resource integration and shared the solutions accordingly in order to provide reference to other enterprises. | |
