| 中文摘要: | 技术创新是推动社会生产力发展的原动力,假如技术创新得不到知识产权保护,就不会有企业愿意付出大量研发成本和市场成本为模仿者做嫁衣,那么势必会造成技术研发的停滞,而阻碍创新的发展。当企业发展到一定阶段,技术逐渐成熟,会积累大量的冗余专利。这些专利有可能由于技术更替或企业战略中心的转移而变得不再重要,但维护专利的高昂费用着实是一笔不小的运营成本。通过商业化项目,识别出这部分专利,对其加以利用。将传统的保障性管理方式向商业化管理模式进行转化,不但可以降低被忽略的运营成本,更有可能获得营业外收益。在市场经济环境中,专利不再仅仅是被授权的某项发明创造,不再仅仅代表了产品或技术的新颖性、创造性和实用性(被授权专利必须满足的三个条件属性)而已,更是一种具有交换价值和极高的可利用价值的非有形非固定资产。其价值就在于给其所有者或使用者带来的当前的和未来预期的超额利润。 T公司是中国本土医药企业中,对于专利资产管理较为重视的企业之一。为适应国际化发展的整体战略,T公司的专利资产管理职能需要全面转型。专利资产的价值评估对于企业而言,具有十分重要的意义。本文根据T公司的行业特点和自身发展的实际需要,侧重专利自身的原始属性(即权利属性)进行价值评估,以及专利所处的战略和市场地位,对专利价值进行深入研究。由于这些属性相互关联于同一个客体——专利,因此,本文将从专利的战略重要性、市场议价性和抗仿制性三个维度,运用定性、定量和案例分析法,设计一种多维度的评价体系来对专利资产价值进行综合评价。有效的价值评估,可以帮助企业重新筛选具有战略价值的专利;重新核算企业的总资产;为企业的资产运营行为提供参考;实现专利的价值转化,重整专利资产。本文通过对于T公司专利资产价值的评估,专利资产的分类,绘制价值维度图,寻找出适合不同专利的商业化策略,既包括传统的自持、许可、出售,本文还提出了“融资许可”和“专利众筹”两种新型的商业化策略。 | |
| 英文摘要: | Technological innovation is the driving force to promote the development of social productivity. If it is not intellectual property protection, there would be no companies willing to pay a lot of R & D costs and marketing costs. In this way it will inevitably lead to the stagnation of technology research and development, and hinder the development of innovation. The technology matures will accumulate a lot of redundant patents when the company at a certain stage of development. These patents are likely due to the transfer of technology or business strategy centers replacement, but the high cost of maintaining a patent really is not a small sum of operating costs. It can through commercial projects to identify which part of the patent and take advantage of them. Protection of traditional management approach to business management transformation model not only can reduce operating costs are negligible, but also are more likely to get operating income. In a market economy environment, the patent is no longer just authorized the creation of an invention, not only represents a novel product or technology, creativity and practicality (three conditions must be met to be granted patents attributes) only, and more is a kind of high exchange value and use value of non-tangible non-fixed assets. Its value lies in bringing to its owner or user of the current and expected future excess profits. T Corporation is a China's domestic pharmaceutical company, and patent asset management is one of the most important businesses. In order to meet the overall strategy of international development, T's patent asset management functions requires a comprehensive restructuring. Based on the actual needs of T's industry characteristics and self-development, focusing their original patent properties (the right to property) of valuation, strategy and market position as well as patents which, in-depth study on the value of patents. Because of these properties are interrelated in the same object - Patent, therefore, the strategic importance of this article will patents, market bargaining and anti-imitation of the three dimensions, the use of qualitative, quantitative and case analysis, design of a multi-dimensional evaluation of the patent system to a comprehensive evaluation of the value of assets. Valuation of patent assets for enterprises has very important significance. Effective value assessment can help companies re-screening patents has strategic value, recalculate the total assets of the enterprise, provide a reference for the behavior of asset management companies, realize the value of the conversion patents, and reforming the patent assets.
