中文摘要：	T公司是按照现代企业制度组建的、具有完善公司治理结构的国有控股有限责任公司，为百分之百的国有企业，成立于2007年12月24日。作为区域开发企业，T公司主要负责对区域内土地进行收购、整理和储备。同时负责区域内基础设施和公共设施的投资、建设、运营、维护，并按照当地政府的计划要求负责相关设施的建设、运营和维护，并享有相应的投资权、经营权和收益权。T公司与传统的区域开发平台公司不同的是并不是由当地政府直接出资而是有更为复杂的股权结构和合作开发模式。相对于其他开发区域开发企业在投资和融资的运用上更加市场化。为了研究这种新型的产权模式和投融资机制，本人尝试从公司治理结构和战略间的关系角度予以探讨，以期有所突破。本文首先从公司治理的理论起点入手，探讨战略管理与公司治理之间的关系，并对公司治理结构及战略的基本思想与理论进行了梳理与研究。概括介绍了基本理论和主要的分析手段。重点介绍了T公司的基本情况，董事会股东会构成情况，投融资战略选择等多方面进行分析。通过实证分析T公司的治理结构与战略之间的关系。并通过案例分析研究公司治理结构与投融资战略之间的互动关系。分析现有的优势和不同之处，并对未来T公司的投融资战略提出自己的建议和措施。本文的第一章介绍了选题背景及意义，提出了本篇文章的研究思路；第二、第三章分别介绍了公司治理的基础理论，一般战略理论及与公司治理之间的互动关系；第四章重点介绍了 A 公司的基本情况和投融资决策现状，并对现状进行全面系统的归纳与总结；第五章通过案例分析深入研究T公司公司治理对投融资决策的影响；第六章针对现有的模式进行分析总结和提出建议；最后在结束语中进行小结。本文通过公司治理与战略管理之间的关系研究，以T公司为模板分析股权结构对实际战略决策的影响，相信会对企业实际经营发展提供借鉴意义。
英文摘要：	T company is incorporated in accordance with the modern enterprise system, has a perfect corporate governance structure of state-owned holding co., LTD., for one hundred percent of the state-owned enterprises, was founded in December 24, 2007.As regional development enterprise, the T company is mainly responsible for the area of land acquisition, sorting and reserves，at the same time，its responsible for the infrastructure and public facilities in the region of the investment, construction, operation, maintenance, and in accordance with the requirements for the local government's plan is responsible for the related facilities construction, operation and maintenance, and shall enjoy the right of the corresponding investment, rights and usufruct. T company is different with the traditional regional development platform company is not paid for by the local government directly but have more complex structure and development mode of cooperation. Relative to other developed area development enterprise more market-oriented in the use of investment and financing. To study the property of the new model, investment and financing mechanism, I try from the perspective of the relationship between corporate governance structures and strategic, in order to break through. In this paper, first of all, from the theoretical starting point of corporate governance, explore the relationship between strategic management and corporate governance, and corporate governance structure and strategic generalizes the basic thought and the theory and research. This paper introduces the basic theory and main methods of analysis. Mainly introduced the basic situation of T Company, the board of directors shareholders constitute, investment and financing aspects of analysis of strategic choice. Through the empirical analysis the T company governance structure and the relationship between the investment and financing strategy. And through the case study this paper analysis the corporate governance structure and the interaction between investment and financing strategy. Analysis of the existing advantages and differences, and in the future T Company’s investment and financing strategy put forward his own Suggestions and measures. This paper first describes the background and significance of topics, puts forward the research ideas of this article; Respectively the second and the third chapter introduces the basic theory of corporate governance, the general strategic theory and the interactive relationship between corporate governance and; The fourth chapter mainly introduces the basic situation of A company and the board of directors of the shareholders' committee, and the comprehensive system of induction and summary on the status quo; The fifth chapter through the empirical and case analysis in-depth study of T company governance and the relationship between the investment and financing strategy; Chapter six Suggestions are put forward according to the existing model analysis to summarize and; Finally in the conclusion to summary. In this paper, the relationship between corporate governance and strategic management research, T company as template in this paper, the effect of ownership structure to the actual strategic decision, believe that will provide reference to the enterprise actual business development.
