中文摘要：	在党的十五大提出混合所有制经济的概念后，一大批国有企业准备进行混合所有制改革，同时以民营资本为代表的其他所有制经济体也有强烈的意愿来参与到国有企业的混合所有制改革中来。正是在这种环境下，天津立达食品有限公司作为原国有独资企业于2013年进行了混合所有制改革，引入了民营资本——天津瀚投投资有限公司的49%股权，使天津立达食品有限公司由原来的国有独资企业成为其它所有制形式的混合所有制企业。但是，随着企业的改制，相应的公司治理结构没有跟上改制的节奏，在近一年多的运营中，或多或少出现了一些问题，而这些问题的出现，从本质上讲是天津立达食品有限公司在治理结构上的不完善造成的，所以本文将讨论如何优化天津立达食品有限公司的治理结构，使之与企业的所有制形式改革相匹配。 本文通过对于业界、学术界比较公认的管理理论，例如委托代理理论、资源依附理论等进行回顾，然后对比天津立达食品有限公司在公司治理结构上的现状，总结出目前天津立达食品有限公司在治理结构上存在的问题，同时讨论了类似于天津立达食品有限公司这类型混合所有制企业在进行治理结构优化时的主要目的和原则，最后有针对性的提出了对于天津立达食品有限公司进行治理结构优化的途径和方案。 通过对于天津立达食品有限公司治理结构优化的深入研究，可以发现天津立达食品有限公司只有在公司治理结构上实行真正意义上的公司化改制，去除企业的行政属性，使股东成为真正意义上的投资者，变管企业为管资本，形成股东会、董事会、监事会、管理层的良性互动，才能使企业的公司治理结构更加的完善。此外，天津立达食品有限公司的治理结构优化方案在一定程度上也能够对于类似的混合所有制企业有一定的借鉴意义。
英文摘要：	In the 15th National Congress of the Communist Party of China, the concept of the mixed ownership economy is introduced firstly. A large number of state-owned enterprises and other companies with other ownership are ready to participate this reform. As a state-own enterprise, Tianjin Leadar Food Co., Ltd. reformed to a mixed ownership economy by the introduction of private capital from Tianjin Hantou Investment Co., Ltd in 2013. However, the reform has not reached the aim due to a unsuitable corporate governance structure. This thesis tells how to optimize the structure of corporate governance for Tianjin Leadar Food Co., Ltd. Firstly, some management theories, such as principal-agent theory, resource dependence theory have been reviewed in this thesis. Then, some problems for corporate governance structure are found by comparing these theories with the current status in Tianjin Leadar Food Co., Ltd. By summarizing these problems, the aim and principle for optimization of corporate governance are constructed for Tianjin Leadar Food Co., Ltd. In the end, the solutions for Tianjin Leadar Food Co., Ltd. are provided in this thesis. Through the research for the Tianjin Leadar Food Co., Ltd. on optimizing governance structure, the company needs to remove the way of operation based on government system and make the shareholder become the true sense of the investors. Meanwhile, the company’s structure should be in the good interaction with shareholder, board of directors, board of supervisors, and managers. In this way, there will be a perfect structure of corporate governance. Besides, the solution for Tianjin Leadar Food Co., Ltd. on optimization of corporate governance structure could be used by other mixed ownership companies like Tianjin Leadar Food Co., Ltd.
