| 中文摘要: | 2008年金融危机导致经济环境发生变化,国内很多企业开始了一系列的兼并和重组,许多企业为了提高产业集中度和市场话语权,陆续开始兼并重组,转向集团化发展,以提高应对风险能力。重组后的集团企业规模变大了,但是,重组以后是否能够充分发挥最大潜能及协同效应,是否能实现集团最大化效益,完成由大到强的转变,是集团化企业转变过程中面临的一个较大的考验。本文以中纺集团为例,通过分析公司治理现状,对集团内部公司治理存在的一系列问题进行深入的剖析,针对企业内部各层级治理中存在的问题,结合作者在MBA课程学习中对公司治理相关理论的理解,提出中纺集团在企业优化治理结构和提高公司治理效率上的一些建议和思路。 公司治理,主要是探讨在相关制度构架下,怎样实现对某一公司的有效制衡和控制,目前公司治理理论大部分是沿用西方的治理理论。但是实际上国内企业的治理现状和环境与西方相比又有所不同。国内新市场形势下出现的集团企业,管理层级多而杂、产权结构有所交叉,传统的治理理论针对性和实用性相对不足,与现有的公司治理研究产生一定的脱节现象,在实际治理过程中企业很难找到合适配套的参考理论和借鉴模式。目前国内的国企大集团众多,而国企集团的治理结构和效率问题是研究的典型代表,国企的出资人是国资委,国企从上到下的分层治理结构,构成的治理模式也不尽相同。目前的国有大型集团企业在经过整合重组后,在公司治理问题上仍然存在一系列不容忽视的问题,国企集团在规模上逐步扩大、经营领域上同时横跨多个行业,集团与下属子公司之间,如何进一步完善分层治理结构以及提高整体治理效率,是迫切需要解决的问题。本文的研究方法是从公司治理结构的有关理论和模式入手,同时重点分析国企性质的集团企业公司治理过程中面临的一系列主要问题,为进一步研究优化中纺集团的公司治理结构提供理论基础。随后,通过对中纺集团及下属企业的经营状况、产权结构、激励机制等内外部存在的矛盾和冲突进行分析,找出集团内存在的问题,再结合企业公司所处的环境和治理的现实情况,找出适合于中纺集团发展的公司治理结构框架,最后提出了改善中纺集团公司治理结构以及提高公司治理效率的具体操作思路和建议。我国的国有集团化企业治理大多沿用西方治理理论,在公司治理过程中,容易出现实践创新不足的问题;在实际管理中过于突出集团总部的地位,忽视了公司治理结构中相关制度的建立和完善;过于关注集团内部治理结构的完善或者某一局部的治理,却忽视外部治理结构的构建和针对利益相关者的协同治理。作者通过深入探讨和研究,总结如下:集团化企业必须做到理顺产权关系,才能使多层级治理结构进一步优化、多层级治理效率得以提高,集团企业应整合有效资源、集团内合理安排管理层级,做到共同治理,集团企业的投资主体应具备多元化特点、所有者由国资委或一股独大转变为公众化。本文以国有企业中纺集团为例,在传统理论上做出一定的突破,深入探讨集团化企业公司治理过程中存在矛盾和问题,寻找影响集团化企业公司治理运行效率的根源,结合作者在MBA课程所学以及实际工作中的体会,提出治理集团化企业的建议,为中纺集团以及类似集团化企业规范高效运营以及尽快实现由大到强提供一定参考。 | |

After the reorganization of the enterprise group become larger, but after the reorganization, whether can give full play to the maximum potential and synergy effect, whether can achieve maximum benefits group, completed the transformation from large to strong, is a big test faces the transformation process in the enterprise group. This paper takes the Chinatex group as an example, through the analysis of the current situation of corporate governance, analyzes a series of problems existing in the group of internal corporate governance, in view of the existing enterprise interior each hierarchy governance issues, combined with the author, governance theory related to the company in the MBA course of study in the understanding, proposed Chinatex group in the enterprise governance structure optimization and improvement some suggestions and ideas on the efficiency of corporate governance. Corporate governance, mainly is to discuss in the relevant system structure, how to realize the effective checks and balances and control a company, at present the theory of corporate governance is mostly used the western governance theory. But in fact, the domestic corporate governance status and environment compared with the west is different. The emergence of China under the new situation of enterprise group, the level of management is much and miscellaneous, the structure of property rights has to cross, the traditional governance theory for relative insufficiency and practical, produces a certain disconnection and Research on the existing corporate governance, in the actual process of governance of enterprises it is difficult to find suitable supporting theoretical reference and reference mode. At present, many large domestic state-owned enterprise group, and the problem of the governance structure and efficiency of state-owned enterprise group is a typical representative of the study, state-owned investor is the SASAC, hierarchical governance structure of state-owned enterprises to the from, constitute the governance model is not the same. At present, large state-owned enterprise group after the reorganization and integration, there are still a series of problems not to be ignored in corporate governance, state-owned enterprise group gradually expand the scale, in the business field simultaneously across multiple industries, between the group and its subsidiary company, how to further improve the governance structure and improve the overall hierarchical governance efficiency, it is an urgent need to solve the problem. The research method of this paper is starting from the relevant theories and modes of corporate governance structure, and focus on the analysis of a series of major issues facing the nature of state owned enterprise group Enterprise Inc in the process of governance, to provide theoretical basis for further research on the optimization of corporate governance structure of Chinatex group. Then, through the analysis of conflict and contradiction of Chinatex group and its subordinate enterprises operating conditions, the structure of property rights, incentive mechanism and external group, find out existing problems, combined with the reality of the Enterprise Inc's environment and governance, to find out the framework of corporate governance structure is suitable for the development of Textile Group, and finally puts forward to improve the governance structure of Chinatex group company and improve corporate governance efficiency of operation of the specific ideas and suggestions. China's state-owned enterprise group governance mostly use the western theory of governance, in the process of corporate governance, is easy to appear the problem of lack of innovation practice; too prominent group headquarters status in the actual management, ignoring the establishment and perfection of related system of the corporate governance structure; too much attention to improve the internal governance structure of the group or a local governance, but ignore the synergy governance construction of external governance and for stakeholders. Through in-depth study and research, summarized as follows: a group of enterprises must be straighten out the relationship between property rights, to make a multi-level governance structure was further optimized, multi level governance efficiency can be improved, enterprise group should be the effective integration of resources, reasonable arrangements for the management level within the group, do group Enterprise Co governance, investment main body diversification, the owner should have the characteristics of by the SASAC or alone big change for the public. Using state-owned enterprises Chinatex group as an example, to make a breakthrough in the traditional theory, in-depth study of the existence of contradictions and problems of group of Enterprise Inc governance process, looking for the influence of root group Enterprise Inc management operation efficiency, combined with the practical work experience of the author and learned in the MBA course, put forward to manage the enterprise group's advice, China Textile Group and similar group of enterprises standardized and efficient operation and implementation by large to strong to provide certain reference as soon as possible. | |
