中文摘要:   十八届三中全会提出要积极发展混合所有制经济,将其作为经济制度的重要实现形式。混合所有制作为经济改革的重要实现手段被重新提出,为我国全面深入进行经济改革提供了新的思路和途径,具有重要的意义。本文通过对目前混合所有制企业发展现状进行分析,探究当前经济和制度环境下,实现混合所有制改革所存在的困难和阻碍,并从公司治理的角度探索能够促进混合所有制企业发展推动混合所有制改革的公司治理完善举措。   通过分析发现,目前我国混合所有制经济发展主要存在三方面问题,一是信念方面,即在当前的制度环境下,非公有资本对相互融合、交叉持股的混合所有制企业中是否能够保证自身利益存在疑虑,无法确保利益得到保障极大降低了其参与混合所有制改革的动力。二是制度方面,即如何合理安排混合所有制企业的股权结构,才能够保证充分调动各资本成分的积极性,发挥各自的优势,进而成功推动混合所有制企业的发展。三是执行方面,即国有资本的性质能够使国有股东成为超级股东,拥有超出其股份所赋予的谈判力和控制力,导致行政型治理问题严重,在人事任命、经营目标确定和资源配置上左右企业决策。   以典型的混合所有制企业深圳LS公司作为案例进行分析,剖析深圳LS公司治理存在的问题,并根据前述分析提出完善建议。最后针对以上问题,从公司治理的角度提出了几方面有助于混合所有制公司发展的建议,首先,从股东治理方面,国有资本要明确自身定位,根据改革目标确定持股比例,保证非国有资本的谈判权利和地位,是非国有资本能够与国有资本相互制衡,保证各方利益。其次,董事会方面,要严格根据持股比例分配董事会成员构成,加大独立董事比例,成立专业委员会,规范董事会运作,使其发挥公司治理核心作用。最后,从经理层治理方面,在招聘和任用上要充分利用市场化机制,同时促进职业经理人市场的完善,使用合理科学的激励和考核机制,使薪酬与绩效挂钩,充分发挥经理人的积极性。 
英文摘要:   The third plenary session of the eighteenth Committee of the Communist put forward to develop the mixed ownership economy, as the important form of economic system reform. It provides a new train of thought and way for in-depth and in-width economic reform. It is of great significance. This paper analyzes the present development of mixed ownership enterprises firstly, then explores the existing difficulties and obstacles to realize the mixed ownership reform under the current economic and institutional environment. What’s more, this paper researches the way by which can improve the corporate governance in order to promote the development of the mixed ownership reform.    By analysis, it is found that there are three main problems. The first one is about faith. When it is emphasized that the state capital, collective capital, private capital cross-shareholding and mutual confluence, private capital is worrying about that their benefit cannot be protected very well. The doubt that in the case of unable to ensure interests protected reduces the motivation to participate in the mixed ownership reform. The second one is about institution. That is to say, how to set arrange shareholding structure of the mixed ownership enterprise reasonable, can arouse the enthusiasm of all the capital composition, and make them play their respective advantages. The last one is about implementation. Because State-owned capital can become super shareholder, and have much more bargaining power and control than it should have, which lead to the problem of administration governance.    The paper analyzes the Shenzhen LS co., LTD which is a typical mixed ownership company. The paper analyzes the Shenzhen LS co., LTD’s problems in corporate governance, and put forward suggestions. At the end, to solve above problems, the paper puts forward several suggestions from the perspective of corporate governance to help develop of mixed ownership enterprise. Firstly, from the aspects of shareholder governance, State-owned capital shall be clearly positioning itself, according to determined ownership reform target, ensure the negotiating rights and status of the non-state-owned capital, and protect the interests of all parties. Secondly, from the aspects of board governance, the allocation of members of the board of directors must be strictly according to the shareholding. It is necessary to increase proportion of independent directors and set up professional committees, in order to make the board to play a role as the core of corporate governance. Thirdly, from the aspects of management governance, recruitment needs to make full use of market mechanism. Using reasonable scientific incentive and evaluation mechanism to make sure that pay is link with performance. At the same time, it is important to promote the improvement of the professional manager market.
