中文摘要：	中小企业在我国的经济建设与发展中，发挥着十分重要的作用。据2013年上半年统计，我国中小企业户数占我国企业总数的99% ，中小企业创造的价值相当于GDP总量的60%，纳税占税收收入的50%，创造了80%左右的城镇就业岗位 。其中，科技型创业企业具有特殊地位和作用。科技型创业企业是以高新技术的研究、新技术产品的研制和销售以及提供高新技术服务为主营业务的创业企业，具有灵活的研发与经营机制，是最具活力和发展前景的企业。但是，由于它面对的是新技术、新产品、新服务和新的市场，决定了它比成熟行业的企业面临更大的不确定性，具有更多的风险。科技型创业企业面临着资源短缺、融资困难、招聘难、推广难等问题。中海嘉公司是一个科技型创业企业，已经具有一定规模，被国家认定为高新技术企业。可是，也像许多科技型创业企业一样，公司面临市场狭小，许多技术尚未转为产品，产能尚未发挥出来，企业管理不规范，经营效益不理想等问题，远未发挥出其具有的潜能。公司处于创业期和成长期的转型阶段。本文针对中海嘉公司情况，依据企业成长周期理论、企业战略理论以及企业重组理论，对公司创业和发展的做了回顾与评价；运用比较分析的方法对近三年经营状况进行了分析和比较，进而对公司特征和存在问题的做了较深入的分析；在此基础上，探讨了中海嘉公司的重组问题，包括重组的原则、三个重组方案的比较与选择；还特别提出了公司战略目标、经营中心转轨和公司上市等发展建议。本文期望对中海嘉公司从创业期向成长期的转型发展具有参考价值。同时，对处于创业期向成长期转型阶段的其他科技型创业企业产生借鉴作用。
英文摘要：	Small and medium-sized enterprises (SMEs) play a very important role in promoting our country's economic construction and development. According to statistics of the first half in 2013, the number of SMEs accounts for 99% of the total number of enterprises in China . Values that SMEs create are equivalent to 60% of GDP, and tax that SMEs pay accounts for 50% of total tax revenue, and about 80% of urban employment positions are provided by them . What’s more, among the SMEs, science and technology ventures have a special position and role. Science and technology ventures are start-ups that put research of high and new technology, development and sales of new-technology product, and provision of high and new technology services as main business. Also, they own flexible R&D and operation mechanism, are the most dynamic and have good prospects for development. However, because of facing new technology, new products, new services and new market, they must be up against greater uncertainty and more risk. Science and technology ventures are confronted with many problems, such as shortage of resources, financing difficulties, recruitment difficulties and promotion difficulties. Zhonghaijia CO.,LTD is a science and technology venture, has formed a certain scale and been identified as a high-tech enterprise by the state. Like other science and technology ventures, however, the company are faced with some problems: market is narrow, many kinds of technologies have not been converted to products, production capacity has yet to play out, enterprise management is not standard, operational benefit is not ideal, and it don’t bring out its own potentials. So, Zhonghaijia is in the stage of transformation from startup stage to growing period. According to Zhonghaijia's reality, this paper review and evaluate entrepreneurship and development process of the company on the basis of enterprise life cycle theory, enterprise strategy theory and corporate rebuilding theory; Further, this paper analyze and compare the operating conditions in the recent 3 years by using comparative analysis method, and then make a more in-depth analysis of the characteristics and existing problems on the company; On this basis, this paper discusses Zhonghaijia’s restructuring issues, including the principles of the reorganization, comparison and selection of three restructuring plans; In particular, the paper put forward some development suggestions on the strategic goal, transition of business focus and listing of the company etc. This article hopes to have the reference value for Zhonghaijia’s transformation from startup stage to growing period. At the same time, it can bring reference to the development of other similar enterprises.
